The Outdoor Channel (OUTD) is a television network with about 38 million subscribers devoted solely to outdoor related programming. On November 15th, 2012, Outdoor Channel entered into a merger agreement with InterMedia Outdoors Holdings, LLC for a cash and stock deal worth about $8 per share. On February 27th, 2013, Outdoor Channel received an unsolicited offer for $8.75 per share in cash from Kroenke Sports & Entertainment (KSE). KSE is owned and operated by Stanley Kroenke, a multi-billionaire who owned 1.25 million shares of OUTD.
