Daily Round Up: 7/10/14

by: InsiderInsights

Tables of the top insider purchases and sales filed with the SEC on Thursday, July 10, 2014, based on dollar value.

Dollar values often do not equate with significance when it comes to insider trades.

Proprietary Insider Company Ratings are further given for selected companies.

I cannot repeat enough that dollar value is only one metric to assess the significance of an insider transaction. InsiderInsights calculates Insider Filer Statistics in real time, and formulates Insider Company Ratings based on numerous behavioral factors, so our clients can separate real investment intelligence from time-wasting noise.

On Today's Tables:

It's quite obvious by the lower dollar values of the insider transactions on today's tables that we are in a seasonally slow filing period for insider transactions. Yesterday, there were only 349 Forms filed by insiders at the SEC, which is less than a third of the average volume of filings made in May and June.

This predictable lull in filings is the result of companies closing trading windows to their insiders from the end of their June quarters, until quarterly earnings are released. Form 4 filing volumes have been waning since the beginning of July, but historically pick up sharply again in the first week of August. The concept of closing trading windows to insiders is not mandated by any SEC regulation. Rather, the restriction is placed on executives by their own legal departments to keep them from being accused of making trades based on the material, non-public information that quarterly earnings are deemed to be.

While significant insider signals certainly can be generated during this seasonally slow period for insider filings, yesterday's crop was light on meaningful investment intelligence. During these dry spells for new insider signals, investors can still benefit by reviewing the trading behavior of stocks with recently significant insider activity to see if there are opportunistic trades to be had as their firms' earnings events approach.

Insider trades were rated Nearly Significant at:

  • Regeneron Pharmaceuticals (NASDAQ:REGN);
  • China Cord Blood (NYSE:CO);
  • Ruckus Wireless (NYSE:RKUS);
  • Yelp (NYSE:YELP), and;
  • Nimble Storage (NYSE:NMBL).

  • TRI Pointe Homes (NYSE:TPH);
  • PHH Corporation (NYSE:PHH);

An important note from Jonathan Moreland, founder of

In a victory for common sense, it's been proven profitable -- by both academic studies and (more importantly) the experience of your fellow professional investors -- to monitor the trading behavior of company executives, directors, and large shareholders in the stocks of firms of which they're registered as "insiders".

Please note, however, that the lists above are strictly factual; they are not buy and sell recommendations.

At, our clients find new investment ideas every day using more intricate insider screens to determine where they should focus their subsequent fundamental and technical analysis. And while stocks don't (or shouldn't) move up or down based on insider activity alone, insiders tend to be profitable indicators of when real stock-moving events like earnings surprises, corporate actions, and new products may be in the offing.

So use these daily articles as the initial research tools they are meant to be, and click the links in the tables to analyze a company's or insider's full insider history. Also feel free to email us with any questions on our proprietary insider data, filer statistics, and company ratings.
