In an amended 13D filing on Wendy's International (NYSE: WEN) yesterday, 9.8% holder Nelson Peltz's Trian Fund/Triarc Companies disclosed that on August 27th they entered into a Confidentiality Agreement with Wendy's.

As part of the agreement, Triarc and Trian have agreed that they will not acquire additional shares of Wendy's prior to December 1, 2007, unless certain circumstances of the agreement are met.

In the past, Peltz said his companies were prepared to offer $37-$41 per share for Wendy's. Shares of Wendy's were trading yesterday up about 3% to $32.86.
