December 6th Merger Arbitrage Activity

CommScope's (CTV) deal to buy Andrew (ANDW) received conditional U.S. antitrust approval from the Dept. of Justice. The combined company must sell Andrew's 30% stake in Andes Industries to prevent a duopoly from occurring in the market for coaxial cable sold to cable companies.

Tribune (TRB) shares were up 8% on news that it intends to reduce debt and a confirmation that the company believes the $34 per share buyout will close before the end of the year.

Aquila's (ILA) pending sale to Great Plains Energy (GXP) may be danger of falling apart as Missouri's consumer advocate stated that he will ask for the proposed sale to be dismissed.

The FTC approved Nokia's (NOK) proposed buyout of Navteq (NVT) for $8.1 billion. The deal is expected to close in the first quarter of 2007.

Arris (ARRS) stated that Glass Lewis and ISS, two large proxy advisory firms, had recommended that C-COR (CCBL) shareholders vote for the proposed merger of the two companies. The shareholder vote is scheduled for December 14.
