Notable Large-Cap And Mid-Cap Insider Sells Filed On August 22

There are many different strategies to trade stocks and one of them is to find insider trading of stocks. When corporate insiders trade in their own securities, they must report their trades to the Securities and Exchange Commission (SEC), usually within a few business days of the trade. Insider trading cannot be based on material non-public information. However, many investors believe that corporate insiders may have better insights into the growth of the company and its proceedings. While there are many reasons for insiders to sell their shares, there is only one reason to buy. That said, investors generally look for insider selling patterns to get better insights into a company.

In this article, I will focus on notable insider sell transactions from mid-cap and large-cap companies (market cap greater than $2 billion) filed at the Securities and Exchange Commission on August 22, 2012. I have also included the key financial metrics for the first three companies. You can use this list as a potential starting point for your analysis.

Definition of Insider: Corporate insiders are either a company's officers, directors, or any beneficial owners of more than 10 percent of a class of the company's equity securities registered under Section 12 of the Securities Exchange Act of 1934.

Rule 10b5-1 Definition: A rule established by the SEC that allows insiders of publicly-traded corporations to create a trading plan of whenand how to buy or sell shares in that company. Rule 10b5-1 allows major holders to buy or sell a predetermined number of shares at a predetermined time. 10b5-1 plans are used by many corporate insiders to avoid the accusations of insider trading, regardless of what nonpublic knowledge he/she may later come to possess.

1. IntercontinentalExchange Inc (NYSE:ICE): IntercontinentalExchange operates regulated exchanges, clearing houses, and over-the-counter (OTC) markets for agricultural, credit, currency, emissions, energy, and equity index contracts. IntercontinentalExchange has a market cap of $9.90 billion and is currently trading around $136.00 with a 52-week range of $105.31 to $142.75. The stock has gained 12.82% year to date.

According to SEC filings on August 22, 2012, Sprecher Jeffrey C (Chief Executive Officer) sold a total of 43,250 shares at a total value of $5,847,559, through Rule 10b5-1 trading plan. Rackspace has a market cap of $7.74 billion and is currently trading around $57.05 with a 52-week range of $30.34 to $60.55. The stock has gained 32.64% year to date.

Plains All American Pipeline has a market cap of $14.26 billion and is currently trading around $87.00 with a 52-week range of $54.90 to $88.75. The stock has gained 18.45% year to date.

Multiple insider selling is usually a negative sign.

Cisco Systems, Inc (NASDAQ:CSCO): Cisco Systems designs, manufactures, and sells Internet protocol (NYSE:IP)-based networking and other products related to the communications and information technology industry worldwide. Cisco has a market cap of $102.95 billion and is currently trading around $19.22 with a 52-week range of $14.93 to $21.30. The stock has gained 6.3% year to date. According to SEC filings on August 22, 2012, Moore Gary B (Executive Vice President, Chief Operating Officer) sold a total of 25,000 shares at a total value of $475,000, through Rule 10b5-1 trading plan.

8. Alaska Air Group, Inc (NYSE:ALK): Alaska Air Group Inc is the holding company for Alaska Airlines and Horizon Air. Alaska Air Group has a market cap of $2.43 billion and is currently trading around $34.47 with a 52-week range of $25.55 to $72.34. The stock has fallen 8.18% year to date. According to SEC filings on August 22, 2012, Alaska Air Group had two insiders combine sold a total of 9,808 shares at a total value of $343,747. Out of these, 7,800 shares were sold through Rule 10b5-1 trading plan.

According to SEC filings on August 22, 2012, Williams Edward E (Director) sold a total of 19,344 shares at a total value of $253,462.
