    I believe it near zero. If you read the court documents it is pretty clear the suit was a nuisance case brought by a competitor that is positionally challenged.

    The CEO and CFO take 30% of their cash bonus in stock each year, which can certainly be viewed as buying stock. In addition they receive stock options. I hope that helps.

    In regards to placing, manufacturing and servicing products, I do not think it would be a problem. Most of TACT's products are contract manufactured and I don't think it will be a problem for them to expand with more contract manufacturers or larger ones overseas. They may be able to even decrease the cost of revenue with more scale and absorbing excess capacity of contract manufacturers.

    (1)How did you get to your $9.5m EBITDA going forward for the historical business? How does that break out?
    I used TACT’s 2012 numbers and backed out the litigation and restructuring expenses of $1.7m during the year. Also gave a little credit to growth in the casino printer business.

    (2)Doesn't 50% market share in the food labeling business seem aggressive as an assumption? What gives you confidence in that?
    I don’t think it’s aggressive due to a few reasons. First, I went to the restaurant show in Chicago and spoke with many restaurant owners who explained to me the need and usefulness of the printer. The key is that the printer replaces the need for employees to lookup in a catalog the expiration dates of different food items, which saves on labor time in addition to reducing human error. Also, McDonalds is an industry leader in the restaurant industry and many others look at what they are doing operationally as an example that eventually gets emulated by many others.

    (3)How did you get to the $20.2m EBITDA number for Epicentral?
    The $20.2m number for epicentral is what I think they can do in recurring revenues in 5 years time in regards to that specific product. It is less in EBITDA, but not much less. The EBITDA I wrote in the article in regards to Epicentral was $6.1m which is what I based my evaluation on. I estimated what the maintenance TACT receives for Epicentral per casino and made a schedule on how many casinos I believe that will carry Epicentral over time.

    Blue Mountain filed that it will propose its own slate of external directors. We will be voting for this slate and against Taro's slate. Please read their filing as it is important for the minority investors to vote for the Blue Mountain and against management's slate.

    The largest risk would be for another entrant to come into their niche in the specialty petrochemicals. However, it has been a duopoly for such a long time I don't believe that is likely in the near term.

    The United States has 209, Canada 379 and Israel has 684. The functional headquarter is in the US with manufacturing in Canada and Israel. Research and development is done across the work but mainly in Israel. I hope that helps.

    TSR Wireless was a private company in the paging industry. I helped grow it from $8MM to $250MM in revenues before the industry collapsed in the late 1990's. Unfortunately, no company in the industry escaped going bankrupt ours included.

    As a final thought on the above comment, I would prefer that they don't sell the business and operate it through the next few years. I believe there will be more value creation in that scenario.
