Air Products & Chemicals (APD) raises its bid for Airgas (ARG) to $65.50 a share from $63.50 - now a 50% premium over Airgas' price when APD started bidding in February - but the bid is contingent on Airgas electing APD's board nominees next week, and Airgas is at $66.67 now. (previously)

  • If the board of directors and upper management want to retain any credibility in recommending the latest offer be denied, its imperative they agree to accept substantially less compensation if they fail to bring the stock up to the $65 price within 18 months. No lavish payout for retiring between now and then and certainly nothing if they fail to deliver. Shareholders have the power but they are poorly represented by the largest institutions that own the stock therefore I recommend taking the cash offer.
