Michael Dell's role in Dell (DELL -0.2%) LBO talks presents a conflict of interest, notes Bernstein's Toni Sacconaghi. As a participant in the LBO efforts, Dell's "incentive will be to argue that the business is worth less and is riskier than investors may believe." Thus, he'll probably have to recuse himself from board discussions. But Sacconaghi thinks a deal could happen, given Dell's low valuation and the likely support of major shareholder blocs. "To us, the deal is principally a ‘buy low/sell higher’ transaction." (earlier)
