Today the company announced it has entered into a definitive agreement to be acquired by Providence Equity Partners. Under the agreement Providence will acquire all of the outstanding common stock of vRad for $17.25 per share in cash. The offer price represents a premium of 41.7% over the 30-day average closing stock price of $12.18 as of May 14, 2010, and a premium of 54.9% over the three month average closing stock price of $11.13. Based on the per share consideration, the transaction is valued at approximately $294 million.

Today the company announced that it has reached agreement with the FDA regarding a Special Protocol Assessment (SPA) on the design of a clinical trial to assess the safety and efficacy of bucindolol in approximately 3,200 patients with chronic heart failure who have the genotype that appears to respond most favorably to bucindolol. Bucindolol is the Company's investigational, pharmacologically unique, beta-blocker and mild vasodilator. An SPA is an agreement with the FDA that the proposed trial protocol design, clinical endpoints and statistical analyses are acceptable to support regulatory approval.
