    For whatever reason, Yahoo is showing yesterday's LOOK 'activity', as follows:

    In a recent Form 4, now deceased (long time) Looksmart Board member Ms TERRI A DIAL is shown to have beneficially 'owned' some 391,328 shares.

    The thought was suggested to me today that there's a possibility that the executor of the late Ms Dial's Will could well have arranged a 'sale' of her shares-with Looksmart, as such? (Averaging around, $0.90pps?)

    If so, it would also be fair to then assume that the $1 million the Co had announced a Share Repurchase Program for the buying of shares (from time to time), may well have been connected to such a possible sale.

    Worth noting also (if I recollect right), the last time a large parcel had 'changed' hands (coincidentally) was based on the back of yet another John Gilliam article with an 'Apple buying LOOK', kind of scenario.

    I expect (when all is done - today?), the share price may well 'drift' (be pushed) back down to invite some "PEEK v's Looksmart" buying action. Will someone come in 'over the top' and buy the Looksmart Ad Network?

    This would then leave Looksmart with it's (totally independent, finally) global AdCenter marketplace - to 'roll it's sleeves up' and 'manage' the exclusive CPA/CPV performance advertiser/publisher 'relationships' that it already has in place, full on.

    Global? (Page 9 - 10 Q 2011 - Since when has Europe, Middle East and Africa been Countries?)

    Revenue and Cost Concentrations

    LookSmart derives its revenue from two service offerings, or "products": Advertiser Networks and Publisher Solutions. ..... The percentage distributions between the two service offerings are as follows:

    Worth (also) noting-from the same Looksmart Form 10 Q/A -FY 2011 (on page 23), in regards to ..... Cost of Revenue and Gross Profit:

    <"Cost of revenue, consists of TAC, costs paid to our distribution network partners, collocation costs, commissions paid to advertising agencies, and credit card fees">

    Looksmart has also told in the 10Q ("In 2011, bad debt expense increased as we reserved the accounts receivables for several Intermediaries with which we ceased business."), it's pretty clear that advertising revenues for Q1 2012-the full total $3.6M would NOT have been derived from just the ONE remaining Affiliate, ok?

    In understanding that the Co has now rid itself of Affiliate distribution partners (all, bar one - as was told of in the CC, following Q1 2012), the abovementioned "distribution network partners" must include the publisher networks (at the, very least) of the Search Engines who provide Looksmart with the ..... 'over 5 Billion search queries a day that drive millions of high quality online visitors & conversions for advertisers',no?

    Traffic Acquisition Costs

    We enter into agreements of varying durations with our distribution network partners [the search engines like Google, Yahoo!, Microsoft, 7Search etc] that display our listings ads on their sites [that's their own publisher sites or, partner sites] in return for a percentage of the revenue-per-click that we receive when the ads are clicked on those partners' sites.[No doubt: This is for CPA type performance Ads]
