DALLAS--(BUSINESS WIRE)-- Crosstex Energy, L.P. (XTEX) (the Partnership) announced today that the Partnership and its subsidiary, Crosstex Energy Finance Corporation, have priced their private placement to eligible purchasers under Rule 144A and Regulation S of the Securities Act of 1933, as amended (the Securities Act), of $250 million in aggregate principal amount of 7 1/8 percent senior unsecured notes due 2022 at an issue price of 100% of the principal amount to yield 7 1/8 percent to maturity.
The offering is expected to close on May 24, 2012, subject to customary closing conditions. Pending such use, the net proceeds will be placed into an escrow account. If the acquisition does not close by August 31, 2012, the notes will be redeemed at 100% of the principal amount, plus accrued and unpaid interest to the redemption date.
The offered securities have not been registered under the Securities Act, or any state securities laws, and unless so registered, the securities may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws. The senior unsecured notes are expected to be eligible for trading by qualified institutional buyers under Rule 144A and non-U.S. persons under Regulation S. This announcement is being issued pursuant to Rule 135c under the Securities Act and shall not constitute an offer to sell or a solicitation of an offer to buy any of these securities nor shall there be any sale of these securities in any state in which such offer, solicitation, or sale would be unlawful prior to registration or qualification under the securities laws of any such state.
