Pfizer (PFE) will pay Wyeth (WYE) a $4.5B breakup fee if the lenders pull out of the deal. Wyeth will pay $2B if it drops the deal to accept a higher bid from a different company.

    Judging by the stock price, PFE's investors seem understandably dissatisfied with this irresponsible deal.

     

    A massive failure of corporate governance, when a few loose gun executives are allowed to make committments of this magnitude, without first getting approval at a special shareholders' meeting.
