HCR ManorCare, Carlyle's nursing and assisted living firm, agreed late last night to sell most of its real estate assets to HCP (HCP) for $6.1B plus a leaseback deal. HCP, a healthcare REIT, will pay $3.5B in cash, $852M in stock and $1.7B will be reinvested from the payoff of HCP's existing debt investments in ManorCare.
