Andrew Mason is indeed gone from Groupon's (GRPN) board, the company states in an 8-K. However, his departure from the board is deemed a resignation. Groupon also discloses it paid over $4M in 2012 to businesses associated with chairman Eric Lefkofsky, including $150K to a law firm founded by his brother. The Verge's Ben Popper points out Lefkofsky, who owns 28% of Groupon's voting rights, has a checkered business history.
