    • Active Network (ACTV -7.1%) is down sharply after boutique litigation firm Bronstein, Gewirtz & Grossman announces an investigation into whether the company and its executive officers violated federal securities laws in statements regarding customer conversions to its online registration systems.
    • The cloud event management platform's stock was buoyed to 52-week highs ($11.25) after it reported "expressions of interest ranging from an investment ... to an acquisition" by outside parties at the beginning of the month. Thus, today's move could be due to profit-taking.
    • Skepticism over the company's reporting is not rearing its head for the first time. In February, SA contributor Prescience Point argued that management had masked the company's weakening financial condition by "gaming the accounting and reducing investor disclosures," and that Active Network had little to no appeal as an acquisition target given its "sprawling and complex organizational structure."

    • Though investors are naturally more interested in other matters, Active's guidance is light. Q3 guidance is for revenue of $113M-$116M and a net loss of $4M-$9M, worse than a consensus of $121.6M in revenue and EPS of $0.01. 2013 guidance is for revenue of $451M-$456M and a net loss of $35M-$41M vs. a revenue/EPS consensus of $462.7M and -$0.18.

    Active Network (ACTV +3.8%) rallies as rival event/meeting management site Cvent files for a $100M IPO under the symbol CVT. Cvent posted 2012 revenue of $83.5M (+37% Y/Y), and net income of $4.3M.  Q1 sales totaled $24.4M (+33% Y/Y), and net income $310K. For reference, ACTV had 2012 sales of $418.9M, and a net loss of $43M. Cvent relies on a database of 200K+ venues to connect event planners with venue providers, and claimed 6.2K+ event planner customers at the end of 2012.  The company also sells "marketing solutions" to venue providers.     Active Network (ACTV) +6.9% on a two-notch upgrade to Buy from BofA/Merrill. Shares of the the event-management site were crushed in October after it issued poor Q4 and 2013 guidance, and were down 61% YTD going into today. 8.5% of Active's float was shorted as of Nov. 15.
