    Video programming systems provider Rovi Corp.'s (ROVI) $720M acquisition of Sonic Solutions (SNIC) should offer TV technology synergy. Sonic owns the Roxio Now online video service, which supports web-based rental operations. Premarket, Rovi is -1.5% and Sonic is +25.3%.

    Blockbuster (BBI -3.4%) shareholders fail to approve a proposal to combine the company's Class A and B shares into a single class and undertake a reverse split of its stock. The NYSE informs the company that it will begin the process of delisting.

    Blockbuster (BBI +1.4%) is seeking a loan that would keep the movie-rental chain afloat if it decides to seek bankruptcy court protection. This is not necessarily a sign that Blockbuster will file for bankruptcy, as it is also pursuing other options, including courting possible strategic partners to secure a new cash infusion.

Meanwhile, two different groups of bondholders are clamoring for major equity stakes in return for forgiving $300M of debt and temporarily suspending amortization payments.

    On yesterday's earnings call, investors questioned the value of Blockbuster's (BBI) 28-day window advantage, forcing CFO Tom Casey to concede that the company doesn't have the "liquidity" for an aggressive ad campaign. When pressed, Casey explained: "It'll take a while to get [our] message across." BBI recently -21% to $0.395.

    Blockbuster (BBI) was under pressure yesterday after disclosing it wasn't in compliance with exchange minimum-value requirements. Now its biggest shareholder - Carl Icahn - is headed for the door, selling 13M shares recently to cut his stake to 5.1% as of Monday, from January's 16.9%.

    Blockbuster (BBI) investors, spooked by last night's bankruptcy warning, have sold shares down 32% to about $0.27. Blockbuster gave similar warnings last year before refinancing its long-term debt in the fall. But shareholders and debtholders are wary, with 9% notes down another 2.9 points to $0.22 on the dollar.
