    • Toshiba (OTCPK:TOSBF) agrees to sell its medical equipment unit to Canon (NYSE:CAJ) for ¥665.5B ($5.9B), confirming a report last week.
    • Toshiba, which is selling the unit to help fund restructuring after its accounting scandal, says the deal will yield a ~¥590B profit in the current fiscal year ending this month if it closes in time.
    • However, Toshiba shares are -8% in Tokyo on reports that the company is under investigation by the U.S. Justice Department and SEC over allegations that it hid $1.3B in losses at its nuclear power operations.

    • Citing Lexmark's (LXK +5.3%) recent selloff, Credit Suisse's Kulbinder Garcha has upgraded the printer/content management software provider to Neutral ahead of its Feb. 23 Q4 report. His target remains $31.
    • Shares are now up 18% over the last two days. They jumped yesterday after Bloomberg reported Lexmark had received bids from P-E firms Thoma Bravo and Vista Equity for its software unit. Bloomberg added Japan's Canon (CAJ +2.3%) and Ricoh have shown interest in Lexmark's hardware ops.

    • Growing its surveillance products business amid weak sales of its digital cameras, Japan's Canon (NYSE:CAJ) said it plans to buy security camera maker Axis Communications (OTC:AXSAF) for about 23.6B Swedish crowns ($2.8B).
    • The Swedish company said that its board of directors has accepted Canon’s bid, which represents a 49.8% premium to the company’s closing share price on Monday.
    • Axis shares are up 48.1% in Sweden.

    • 3D Systems (DDD +2.6%) has formed a reseller deal with camera/printer giant Canon (CAJ -0.6%): the latter will sell the former's professional offerings in Japan.
    • The deal is the latest in a string of reseller agreements reached by 3D this year: Other partnerships have featured consulting giant Deloitte and IT distributor Synnex.
    • Meanwhile, Brean is reiterating a Buy and $70 PT following 3D's Q3 results; the firm thinks 3D can maintain 40%+ top-line growth "for the foreseeable future," and sees margin expansion as a 2H14/2015 catalyst.
    • As demonstrated by 3D's Q4 EPS guidance, margins have been pressured lately by rising sales/marketing and R&D investments.
    • 3D is making new highs. Rival Stratasys (SSYS +2.9%) is rallying in sympathy, and isn't far removed from its all-time high of $113.49.
