    • FactSet will receive $165M for selling its Market Metrics and Matrix Solutions offerings, along with an earn-out of $10M depending on growth targets over two years. It plans to use proceeds for share buybacks under an existing program (recently expanded by $165M).
    • The deal covers its businesses focused on adviser-sold investments and insurance and isn't expected to be material to Q4 2016 or full 2017 results. It's expected to close in its fiscal Q4 (ending in August).

    • “After several months marked by downward movement and volatility in equity markets, we believe FDS's client-base will have to reassess its ability to spend," writes the firm's Alex Kramm, who slashed the company's price target from $164 to $138. Shares are trading at $151.32.
    • Annual subscription value rose 9.4% organically in the company's last earnings report, more on the sell-side. But downward pressure this year could impact budgets in the near term, Kramm says.
    • Taking into account revised ASV growth, UBS has cut its 2016 EPS estimate for FactSet to $6.89 from $7.02; more in line with consensus that expects $6.90.
