    Top Japanese chip equipment maker Tokyo Electron (TOELF.PK) is buying U.S. peer FSI International (FSII +52.4%) for $6.20/share, or $252.5M, in cash. The price represents a 53% premium to FSI's Friday close. The deal, which will strengthen TEL's wafer surface preparation offerings, could be weighing a little on Lam Research (LRCX -1.4%), which bought Novellus partly for its surface preparation tech. (PR)

    Gartner predicts the chip equipment market will decline 8.9% this year to $33B, as a recent rebound in orders loses momentum. Moreover, while the market is expected to grow 7.4% next year, it will remain smaller than in 2011. Improving chip manufacturing yields are seen hurting demand, though Gartner expects higher capacity utilization to lead to a gradual pickup. Trade association SEMI's latest book-to-bill data indicates demand is starting to falter.

    The book-to-bill ratio for North American chip equipment makers was 1.05 in May, according to SEMI's preliminary estimate. That represents a decline from March's 1.12 and April's 1.10, and suggests the recent rebound in chip equipment orders (fueled by strong demand from TSMC and other foundries) is losing steam. The weak guidance delivered on Tuesday by FSI International (FSII) heightened fears of an industry slowdown.

    More on FSI International's FQ3: Though results beat estimates, the chip equipment maker is guiding for FQ4 revenue of $40M-$45M, below a consensus of $48.1M. Also, net income is expected to fall to $4M-$5M from FQ3's $10M, which suggests EPS will be well below the $0.18 consensus, and orders are expected to fall from FQ3's $41.8M. FSI blames macro uncertainty, along with timing issues related to facility construction and upgrade projects. FSII -15.8% AH. (PR)

    More on FSI International (FSII): FQ2 easily beat across the board despite a drop in net earnings due to rising costs and higher expenses. Revenue actually jumped 25% Y/Y, as orders more than doubled amid broader adoption of some of its main products. The company also gave an upbeat forecast for the current quarter, now expecting Q3 revenue to exceed $50M. The Street consensus is at $36.3M. Shares +13.7% AH.

    FSI International (FSII) posts a mixed FQ4 earnings report. Its EPS came in at $0.05, below Street EPS estimates of $0.07, but sales came in at $30M, beating expectations for $28M. The stock initially slipped 5% after hours but has rebounded sharply since. Shares +5.2% AH.

    Semiconductor gear maker Applied Materials (AMAT +4%) hits a new 52-week high, exceeding its prior max of $15.57/share. Applied will potentially benefit as Samsung (SSNLF.PK) and Taiwan Semiconductor (TSM +0.1%) spend on capital equipment to increase chip production. Intel (INTC +0.4%) and Globalfoundries are also boosting production capacity.
