    United Technologies (UTX) agrees to sell its Hamilton Sundstrand industrial products businesses to BC Partners and The Carlyle Group (CG) for $3.46B. UTX put the pump unit on the block, along with three other non-core assets, as part of a plan to repay a portion of the short-term debt incurred to finance its $16.5B acquisition of Goodrich Corporation (GR).

    Goodrich (GR) says it's opening an expanded high tech manufacturing facility in Burnsville, Minnesota. The facility will be part of it's Sensors and Integrated Systems business which employs approximately 4,200 people in high tech roles worldwide.

    Goodrich's (GR +0.1%) Aircraft Wheels and Brakes division says it's inked a 10 year contract extension with easyJet for the supply and maintenance of wheels and carbon brakes for their A319/A320 fleet. easyJet operates the world's largest fleet of A319/A320 aircraft with over 200 aircraft in service.

    United Technologies (UTX) is looking to sell its Pratt and Whitney power generation assets in a deal that could fetch ~$1B, Reuters reports. The potential sale is part of UTX's effort to focus more on its aerospace and propulsion segments and move away from businesses not seen as core. The sale reportedly could occur after UTX closes its planned $16.5B purchase of Goodrich (GR).

    China grants conditional approval to United Technologies' (UTX) $16.5B takeover of Goodrich (GR), saying the aircraft parts maker will need to divest its electrical power generation and transmission systems businesses and sell 60% of its Aerolec joint venture with Thales Avionics. European regulators are also examining the deal.

    United Technologies (UTX) offers to sell assets to persuade the EU to OK the conglomerate's $16.5B purchase of Goodrich (GR), Reuters reports, although there's no word on what those assets are. The EU has expressed concern about the markets for engine controls, AC power generators, fuel nozzles and aftermarket services.

    Hess (HES +4.3%) surges as the oil and gas producer is named a top pick at BofA, which notes the stock has dropped to within 10% of its 2008 low. "Regardless of the European concerns, this is unwarranted," the firm says. Tudor Pickering also upgrades Hess as well as Occidental (OXY +2.7%) and Concho (CXO +3.7%) to Buy, while cutting Goodrich (GR) to Hold.

    UTX received about $38B in orders at relatively tight spreads to Treasurys on its $9.8B bond offering, which is being used to fund the $18.4B acquisition of Goodrich (GR). The sale was the largest this year and the 6th largest on record. That's how it's done Facebook, write Andrea Johnson and Danielle Robinson.

    United Tech (UTX +0.9%) CEO Louis Chenevert tells an investor conference that he's confident that the company's $16.5B acquisition of Goodrich (GR +0.4%) will close in July despite the EU giving itself until the end of August to complete an antitrust review. "We have done the right things to wrap this deal up," Chenevert says.

UTX is selling the pump and compressor businesses of its Hamilton Sundstrand unit to avoid issuing new shares to fund its $16.5B purchase of Goodrich (GR -0.1%). FlowServe (FLS +0.2%) and Dover Corp. (DOV -0.8%) are also said to be mulling over potential bids as well.
