    Finra is reportedly investigating trading in Groupon (GRPN) after the firm's share price spiked hours before a positive earnings announcement on Monday. Groupon shares climbed 18.5% on Monday on 4x average volume, and then continued to climb AH after earnings were released.

    Groupon (GRPN +4.3%) is adding to this week's huge pre and post-earnings rally, undoubtedly boosted by short-covering. The gains come as AllThingsD reports Groupon has hired Amazon (AMZN) payments chief Vinayak Hegde to be its VP of engineering. Hegde joins several other former Amazon execs at Groupon, including CFO Jason Child, product VP Jeff Holden, and Americas VP Kal Raman.

    Pandora (P +10.5%) and Yelp (YELP +4.2%) are two more fast-growing Internet names that appear to be getting a boost from the lifting of Facebook's IPO price range (previous). In Pandora's case, short-covering is also probably playing a role, given 29.9% of its float was shorted as of April 30. Meanwhile, Groupon (GRPN +4%), which soared yesterday ahead of its strong Q1 report, has given up most of today's early gains.

    Groupon (GRPN +18%) skyrockets following its Q1 beat and strong Q2 guidance, fueled by surging North American sales that suggest the company is gaining share against old and new domestic rivals. Citi and Sterne Agee are upgrading Groupon, with each praising its operating leverage (long a concern for the Street). Deutsche, however, is worried the lower marketing expenses reported by Groupon won't last, and Stifel thinks shares could fade ahead of the June 1 IPO lockup expiration.

    A new CBS sitcom titled puzzingly enough - Friend Me - will feature Groupon (GRPN) as a big part of its story line with major characters trying to find the best way to market items on the site. It's unclear if the show will provide promotion for the company or if it will be fodder for comedic schtick. GRPN +14.6% post-earnings.

    More on Groupon's Q1: North American revenue +33% Q/Q to $238.6M, the fastest growth rate since Q1 2011. International revenue +102% to $320.7M. Revenue equaled 41% of gross billings (40% in Q4). Active customers +140% Y/Y and +11% Q/Q  to 36.9M, over 100K merchants served. Free cash flow was $70.6M. better than net income of $16.3M. Accounts payable/accured merchants payable, a closely-watched figure, rose 10% Q/Q to $616.8M. GRPN +12.1% AH. (PR)

    More on Groupon's (GRPN +14.7%) rally: In addition to short-covering, shares are getting a lift from a bullish Benchmark note that argues the Facebook IPO could result in a "big rally" for Groupon. The firm also thinks Groupon will "meet or beat" Q1 estimates this afternoon and report improving cash conversion figures, though it's concerned about Q2 guidance.

    Heading into Groupon's (GRPN) Q1 report, due next Monday, concerns have grown about the daily deals giant's accrued merchant payables (AMPs), the money it owes merchants on deals it has already sold. AMPs rose 23% Q/Q in Q4 to $572M, exceeding revenue growth of 14%. CFRA thinks the increase is evidence merchants are receiving more favorable terms. (previous)

    Groupon (GRPN +5.3%), hit hard recently by accounting woes and a board shakeup, is rallying after B. Riley upgraded shares to Neutral on valuation grounds. Also possibly helping is CEO Andrew Mason's annual letter to shareholders. Mason touts Groupon's strong mobile uptake (now accounts for 30% of North American transactions), and a doubling in the effectiveness of its SmartDeals personalization algorithm.

    Amidst all of the pre-IPO theatrics, Facebook (FB) has opened up its Offers product to all U.S. local businesses. Announced in February, Offers allows businesses to publish promotions that appear in their followers' news feeds. Facebook doesn't directly profit from Offers, but could indirectly do so if it encourages businesses to advertise in order to gain more followers. Expect Groupon (GRPN) to keep a close eye on how Offers fares.

    Groupon (GRPN +2.7%) is bouncing a little a day after crashing on news that two high-profile board members would be replaced with AmEx and Deloitte execs. The departure of Starbucks CEO Howard Schultz particularly bothered many investors, given his consumer retail experience. Perhaps another town hall meeting is needed to explain the move.

    More on Groupon's (GRPN -10.6%) board shakeup: Schultz and Efrusy will be replaced by "accounting types," a source claims. The move comes 6 days after Bloomberg reported Groupon wants to hire at least 2 new directors to restore investor confidence following its Q4 restatement, while suggesting the board would be expanded to make room. That's apparently not the case, and the Street isn't happy. Update: The new board members are AmEx CFO Daniel Henry and Deloitte vice chairman Robert Bass. GRPN +2.2% AH.
