    Chipotle (CMG) to replace Novell (NOVL) in the S&P 500. A stock bounce from the S&P addition (and Chipotle's AH earnings beat) gets drowned out by news that U.S. authorities are widening their investigation of Chipotle for hiring illegal immigrants; shares -3.2% in AH trading.

    Red Hat (RHT) is -4.5% despite reporting Q3 EPS of $0.20 in-line. And Oppenheimer & Co. notes the company's billing growth rate accelerated, and there is 'solid acceptance' of Red Hat's virtualization software. Oppenheimer maintains an Outperform rating.

    Attachmate’s CEO Jeff Hawn insisted he's committed to Novell's (NOVL -0.2%) SUSE Linux. It's the firm's "intention to establish a SUSE business unit on par with the existing Attachmate and NetIQ business units," he says. But that doesn't preclude a future sale of the unit.

    The mysterious CPTN Holdings (MSFT) that bought 882 Novell (NOVL) patents last month isn't "just a front for Microsoft." The coalition includes Apple (AAPL), EMC (EMC), and Oracle (ORCL), according to the German Federal Cartel Office. But it still isn't clear just how Microsoft organized this "motley crew," or who gets what patent.

    Morgan Stanley upgrades Red Hat (RHT +1.3%) to Overweight, citing a strong renewal rate for existing accounts, with expected higher billing margins and tax benefits. As the current Linux market leader, Red Hat could also be a good buyout target.

    After Novell's (NOVL) purchase for $2.2B, eyes are on Linux market leader Red Hat (RHT +2.9%) as another buy-out target. Red Hat shares hit a 52-week high earlier this month to $43.79, and it is making a cloud play. Although its market cap is $8B, if its Enterprise Linux "grows as a preferred cloud enabler, watch out."

    It's clear that Attachmate's $2.2B buyout of Novell (NOVL) will result in two operating units, Novell and SUSE. However, it's unclear just what technology Microsoft (MSFT) has bought, although it may want Novell's datacenter management and virtualization capabilities. Novell closed +6.4% at $5.95.

    Attachmate is buying Novell (NOVL) for $2.2B in cash, or $6.10/share. Novell is also selling some of its intellectual property to CPTN Holdings, a Microsoft (MSFT) led consortium, for $450M cash. The Attachmate bid tops a $5.75/share offer from Elliott Associates that Novell rejected earlier this year. Premarket, Novell is +6.8% to $5.97.

    Novell (NOVL) is reportedly having trouble finding a buyer for its NetWare and identity management software businesses. There are buyers for its SUSE Linux business, but Novell’s board does not want to sell that unit and be left with “a shell of legacy assets.” NOVL -8.1% premarket.

    Novell (NOVL +2.3%) reportedly is in advanced talks with VMware (VMW -1.1%) to sell its Linux operating system business and with private equity firm Attachmate to sell some or all of the remaining assets, including its NetWare network operating system.

    Novell (NOVL) has reached a deal in principle to sell itself in two parts, sources say, with a deal signing likely in the next 3-4 weeks. A strategic buyer will pick up the part of Novell that develops and delivers Linux systems, while a P-E firm will grab most of the rest. Shares +5%.
