    • Effective Friday, BB&T Corporation (NYSE:BBT) completed its acquisition of National Penn Bancshares (NASDAQ:NPBC). The core banking systems conversion, along with signage and account changes for clients, is expected early in Q3.
    • The purchase gives BB&T another 126 branches in PA, NJ, and MD, bringing its total to 2,265. Also added are $9.6B in assets and $6.7B in deposits as of Dec. 31, bringing BB&T to #4 in deposit share in PA.

    • The Fed, the FDIC, and "all required state banking regulators" have approved BB&T's (NYSE:BBT) planned $1.8B acquisition of mid-Atlantic bank National Penn Bancshares (NASDAQ:NPBC). The cash/stock deal, first announced in August, is expected to close in the next few months.
    • National Penn has $9.6B in assets, $7B in deposits, and 124 branch offices. BB&T plans to make National Penn CEO Scott Fainor a group executive overseeing "multiple community banking regions in Pennsylvania and contiguous states."

    • "This is a nice bolt-on for them geographically," says Boenning & Scattergood analyst Matthew Schultheis, talking about BB&T's (BBT -0.4%) purchase of National Penn Bancshares (NPBC +16.8%). "[Allentown's] not like that anymore. It's a vibrant area. There's lot of good middle-market businesses to lend to there."
    • Along with being the largest city in the Lehigh Valley, Allentown is pretty close to Philadelphia and NYC, suggesting BB&T branches in the New York area sometime soon.
    • One issue might be the price paid by BB&T - 219% of tangible book  value versus other mid-Atlantic targets going for about 161% of tangible book over the past  year.
    • BB&T CEO Kelly King concedes the high price, but National Bank's profitability makes it worth it. BB&T, of course, recently closed the Susquehanna acquisition - the branch overlap with National should allow for substantial cost savings.
    • Vining Sparks' Marty Mosby says the price looks high, but it could mean banks are just gong to have to start paying up for high-performing banks in appealing markets. Prior to 2008, paying more than 2x book wasn't considered too high of a price, reminds Mosby.

    • Headquartered in Allentown, PA, National Penn Bancshares (NASDAQ:NPBC), has $9.6B in assets, $6.7B in deposits, and 124 banking offices in PA, NJ, and MD. With the purchase, BB&T (NYSE:BBT) will significantly expand its footprint in the mid-Atlantic and boost its deposit share in PA to #4.
    • Consideration of about $1.8B will be made up of 70% BB&T stock and 30% cash. National Penn owners can choose either 0.3206 share of BB&T stock or $13 in cash per share, subject to proration limiting total cash in the deal to about $550M. NPBC closed last night at $10.92.
    • The deal is expected to be accretive to EPS in year one (excluding one-time acquisition-related charges).
