    A rumor Nuance (NUAN +3.3%) has hired Goldman to explore strategic alternatives is fueling a rally in shares of the voice recognition giant. Needless to say, Carl Icahn's newfound interest in the company have much to do with investor hopes for a major payoff. 11% of the float was shorted as of March 15.

    Speculation abounds regarding how Carl Icahn plans to leverage his new 9.3% stake in Nuance (NUAN -1.3%). Many think Icahn could push Nuance to sell its slow-growing document imaging ops to lower its $2.3B debt load; Deutsche believes the unit could fetch ~$400M. Some even see a full-blown sale of the company to Microsoft or IBM as a possibility. Regardless, many Nuance investors are likely to back Icahn should he make an activist push. "There’s been a lot of frustration over the balance sheet and performance," observes Mizuho's Joanna Makris.

    Nuance (NUAN -0.8%) tries to tap into the fast-growing mobile ad market by launching Voice Ads, a technology platform that allows smartphone/tablet users to interact with ads via voice commands (provided they care to). Mobile ad networks Millennial Media (MM) and Jumptap plan to support Voice Ads, as will ad agencies Digitas and OMD.

    The Street showed no mercy to Nuance (NUAN -18.5%) in response to its EPS miss and forecast for multiple quarters of weakness in healthcare and EMEA sales. Goldman thinks Nuance's goal of $1B in FY13 healthcare sales is now at risk, and Needham (downgrading to Hold) is concerned about guidance for a 200-250 bps FY13 gross margin drop, worse than a prior forecast. Management suggested on the earnings call it's counting on clinical documentation software sales and PC/mobile OEM deals to drive future growth.

    Nuance (NUAN) now -14.6% AH thanks to its FQ1 EPS miss and light FQ2/FY13 guidance. On its earnings call, management blamed the guidance on declining healthcare transcription volumes thanks to the adoption of electronic records and Dragon, soft EMEA sales due to macro issues, and declining Windows software sales due to PC demand. The healthcare issues are expected to last a few quarters. Healthcare sales (51% of profits) +3% Y/Y in FQ1, Mobile/Consumer +17%, Enterprise +10%, Imaging +6%. On-demand solutions now 31% of sales (27% a year ago).

    Acquisition-loving Nuance (NUAN) has reportedly snapped up VirtuOz, a developer of virtual assistant services for sales/marketing/customer support workers - VirtuOz calls itself "Siri for the enterprise." Though Nuance is better known for its consumer solutions, its enterprise ops generate $330M/year in sales. The acquisition report comes in a week where Nuance made a slew of CES-related announcements, and outlined a vision for a voice assistant platform that would follow users across devices.

    As CES gets going, Nuance (NUAN) has: 1) Announced plans for a cloud-based voice assistant platform personalized to a user's speech and preferences across multiple devices. Cloud-based solutions such as Vlingo and Siri already make up 29% of Nuance's revenue. 2) Announced deals with Chrysler and ZTE to have its voice recognition tech power automotive apps. 3) Released an update for its Swype keyboard software that includes Living Language, a crowdsourced dictionary, and Smart Editor, which makes word suggestions based on sentence structure.
