    • At a special meeting held this morning, Orbital Sciences' (ORB -1.5%) stockholders voted to approve the proposed merger with the Aerospace and Defense Groups of Alliant Techsystems (ATK -1.2%).
    • As a result of the merger, shares of Orbital common stock are expected to be delisted after the close of trading on Feb. 9. Each Orbital share will be converted into 0.449 shares of common stock of ATK, with cash paid in lieu of fractional shares.
    • ATK will be renamed Orbital ATK and shares of the new entity will trade under the ticker symbol "OA" on the NYSE beginning Feb. 10.

    • Alliant Techsystems' (NYSE:ATK) board continues to back a planned merger with Orbital Sciences (NYSE:ORB), following its evaluation of the proposed deal after the Antares rocket disaster.
    • Shareholder votes on the merger have been postponed from Dec. 9 until Jan. 27.
    • The confirmation also clears the the way for ATK to spin off its sporting-goods business after combining its own space and defense units with Orbital in twin transactions now expected to close in February.

    • Alliant Techsystems (ATK) and Orbital Sciences (ORB) agree to a $5B "merger of equals" to create a new global aerospace and defense systems company called Orbital ATK.
    • ATK says its shareholders will own ~53.8% of the combined company, with ORB shareholders holding the rest.
    • As part of the deal, ATK will spin off its outdoor sports business to its shareholders.
    • ATK +5.2%, ORB +5% premarket.

    • Ammunition maker Alliant Techsystems (ATK) agrees to acquire Bushnell Group Holdings for $985M in cash.
    • Bushnell makes branded sports optics, outdoor accessories and performance eyewear; its projected 2013 sales are ~$600M.
    • ATK expects the acquisition to result in FY 2014 EPS dilution but should be accretive to EPS in its first full year of operations (FY 2015), and estimates 2016 accretion of ~$1/share.

    • Alliant Techsystems (ATK) is in advanced talks to buy Bushnell Outdoor Products in a deal that could value the gun accessory maker at around $1B.
    • Bushnell is owned by private equity firm MidOcean Partners, and comes amid pressure on private equity firms to review investments in gun-related companies following the Newtown school shooting last December.
    • Bushnell hired Morgan Stanley and Robert Baird to shop for a suitor in February. Shares -1.3% AH.

    Alliant Techsystems (ATK -0.7%) says it's completed the acquisition of Caliber Company, parent of hunting rifles and shotguns manufacturer Savage Sports Corporation. The company believes the acquisition will be accretive to FY14 EPS. The acquisition was financed with cash on hand plus funds available under its existing credit facility.

    Alliant Techsystems (ATK) is buying rifle and shotgun company Caliber Co. for $315M in cash. The move adds long guns to ATK's brands in commercial and security ammunition, shooting sports and security-related accessories. Earlier this month, ATK warned that a strong FQ4 "may not be indicative of future sales, as there may have been a number of ammunition orders placed that may have exceeded actual customer requirements." Today's acquisition may be an attempt to address that.
