    Opnext (OPXT) +12.4% AH to $1.09 after disclosing it received and rejected an unsolicited offer to buy the company for $1.40/share. Opnext says its board concluded the offer isn't superior to an existing deal to merge with rival optical component vendor Oclaro (OCLR). Oclaro's all-stock offer was worth $1.96/share at the time of the merger announcement, but is worth $0.97/share today. OCLR +2.6%.

    More on Fabrinet's FQ3: The company is guiding for FQ4 revenue of $139M-$143M and EPS of $0.25-$0.27, below a consensus of $164M and $0.32. Fabrinet manufactures optical components for JDS Uniphase (JDSU), Oclaro (OCLR), Opnext (OPXT), and others. FN -10% AH. (PR)

    Citi praises Oclaro's (OCLR -6.4%) purchase of Opnext (OPXT +53.1%) for having minimal product overlap, and reducing Oclaro's telecom industry exposure. It also thinks a target for $35M-$45M in annual cost savings is reasonable. Credit Suisse notes Opnext is being acquired at just a 0.32x enterprise value/sales multiple, and expects the deal to be a positive for optical component peers such as JDSU and FNSR. (earlier)

    Up initially following its all-stock acquisition of Opnext (OPXT +47.8%), Oclaro (OCLR -7.1%) is now lower. Concerns about the deal's premium, and perhaps the potential for share loss as customers strive to keep a diverse stable of suppliers, could be having an impact. That, in turn, has brought Opnext shares down to $1.67, well below the $1.96 price implied by yesterday's close. Rivals are trading higher: FNSR +3.4%. JDSU +2.2%. NPTN +1.1%.

    Oclaro (OCLR) is acquiring rival optical component vendor Opnext (OPXT) in an all-stock deal that values Opnext at $1.96/share, or $177M, based on today's close. Oclaro will be issuing 0.42 shares of its stock for every Opnext share outstanding. Many have speculated the optical component market is ripe for consolidation. OCLR +2.2% AH. OPXT halted. FNSR +0.9%. NPTN and JDSU could also see volatility.

    Saddled with too many vendors and excess capcity, the optical component industry is due for consolidation, says industry analyst Subu Subrahmanyan, who also speculates Oclaro (OCLR) could merge with Finisar (FNSR) or JDS Uniphase (JDSU). Finisar CEO Jerry Rawls says deals are often discussed, but  disagreements over price and fears of post-merger market share losses are standing in the way.

    Opnext (OPXT) says it relocated production out of Thailand to manufacturing facilities in Japan and California as one of its main contract manufacturers remains down due to flooding damage. The firm warns that the loss of production capacity will have a "significant impact" on its operations and ability to meet customer demand for the remainder of FY11. Shares -2.8% premarket.

    JDS Uniphase (JDSU) is now up 5% AH following its FQ1 report. While JDS says Thai flooding will have a $35M-$45M impact on FQ2 sales, its FQ2 revenue guidance range of $375M-$405M ($415.1M consensus) is better than some investors feared. Other optical component names are also rising: FNSR +3.2%. OPXT +6.2%. OCLR +1.3%.

    Optical component firms JDS Uniphase (JDSU), Oclaro (OCLR), Opnext (OPXT), and Emcore (EMKR) have issued statements about the impact Thai flooding will have on them, on account of their reliance on Fabrinet (FN). Oclaro is posponing its FQ1 report, while Opnext says revenue losses for its current quarter "will be material." (yesterday)

    After reporting solid FQ1 results, Finisar (FNSR +9.7%) CEO Jerry Rawls struck a bullish tone in his company's earnings CC, expressing hope that telecom spending will rise, and an inventory correction that's plagued optical component firms is over. But ACI Research is more cautious, believing another 2-3 months of corrections remain. (previously)

    As optical component and subsystem vendor Finisar (FNSR +15.9%) takes off following its strong FQ1 results and FQ2 guidance, smaller rival Oclaro (OCLR +11%) is also moving sharply higher. Competitors JDS Uniphase (JDSU +2.9%) and Opnext (OPXT +2.6%) are posting relatively modest gains.
