    • XPO Logistics (XPO) has agreed to acquire Pacer International (PACR +3.2%) for $335M in cash and stock, well above the latter's market cap of $294.3M at the close of trade on Friday.
    • Pacer is North America's third-largest provider of intermodal services, which move goods in containers between different forms of transport such as truck, train and ship.
    • XPO expects the acquisition to double its annual revenues to around $2B. (PR)

SunTrust cuts peer Hub Group (HUBG -7.8%) to Neutral from Buy, citing JBHT's decelerating volume growth, and Sterne Agee cuts Werner Enterprises (WERN -3.4%) to Neutral ahead of its Q2 report this week.     Pacer International (PACR -11.1%) trades lower after its Q4 result misses revenue estimates, despite its EPS swinging to a modest profit on higher margins and lower expenses. Net earnings dipped 4% Y/Y however, as the freight transportation company's logistics segment posted a sharp decline in sales.
