    Tesoro (TSO) said late Monday it struck a deal to sell its Kapolei refinery and other assets in Hawaii to Par Petroleum (PARR.OB) for $300M-$350M. Par will pay TSO $75M, plus working capital of $225M-$275M, for the idled 94K bbl/day refinery; the deal includes the purchase of retail stores and associated logistics.

    Delta Petroleum (DPTR -8.3%) trades lower after S&P cut the shares a notch further into junk territory and lowered its outlook to negative late Friday. The move comes two days after the oil-and-natural-gas company said it would likely need to restructure its debt in a move that could include Chapter 11. The stock has fallen hard since hitting a 52-week high near $13 in early March, dwindling down to just pennies on the dollar over mounting debt problems.

    Shares of microcap Delta Petroleum (DPTR) crater, down 61%, after the company rocks the boat by saying a deal to restructure itself could be highly dilutive to shareholders. The energy firm says if it can't reach a deal to raise capital it will required to file for bankruptcy.

    Delta Petroleum (DPTR) jumps 6.7% after announcing it's exploring its strategic alternatives, including a possible sale of the company, with an eye toward "maximizing shareholder value and dealing with 2012 debt maturities." It also closed a $43.2M sale of some non-core assets.

    Two months into 2011, with the S&P 500 up 5.53% so far, the energy sector (XLE) is up the most at 14.59%, with sector stocks LNG, FXEN, ALJ, DWSN, FTO, DK, DPTR, WNR and IO each gaining more than 50%. Industrials, tech and financials have outperformed the market but are well behind energy.
