    • Intel (NASDAQ:INTC) agrees to the purchase of more than 1.4K patents and patent applications from an affiliate of The Gores Group, which obtained the assets amid the bankruptcy of Powerwave Technologies (PWAV, OTCPK:PWAVQ).
    • "The patents relate to, among other things, telecommunications infrastructure technologies, including tower mounted amplifiers, antenna structures, power amplifier configurations, crest factor reduction and digital pre-distortion circuitry."

    Powerwave Technologies (PWAV -76.1%) files for bankruptcy protection after losing money in four of the past five years. The maker of antennas and amplifiers for wireless communications lists debt of $396M and assets of $213M in its Chapter 11 filing.

    Powerwave (PWAV -6.9%) has fallen all the way to $0.34 after filing to sell 3.75M shares on behalf of P-Wave Holdings. The shares stem from warrants P-Wave received as part of a September credit agreement with Powerwave. Powerwave nearly doubled after the credit agreement was announced, but has since fully given back those gains. (S-3)

    Powerwave Technologies (PWAV) -27% premarket after issuing downside Q1 guidance, seeing revenues of $40M-$45M vs. $62.3M consensus. PWAV says it continued to encounter weakness in several of its markets, as network operators were conservative in their spending plans and several markets continued to delay capital spending plans.

The former is also being hit by a downgrade from Jefferies - the firm is worried about declining EV-DO equipment sales now that S and VZ are embracing LTE, and thinks 2H North American telecom capex could be weak. The company blames weakness in both North America and international markets, and a "reduction in activity" with the company's OEM customers. Shares are (unsurprisingly) halted AH.

    A deal between AT&T (T) and T-Mobile deal may cause short-run pain for network equipment stocks ADTN, ALU, CIEN, ERIC, JNPR, NOK and PWAV. In the long run, T will have more market clout with its suppliers, and may push its own vendors (ALU, ERIC and JNPR) into T-Mobile's network.
