    It's official: Freeport McMoRan (FCX) will acquire Plains Exploration (PXP) for ~$6.9B in cash and stock, and acquire McMoRan Exploration (MMR) for ~$3.4B in cash, or $2.1B net of 36% of the MMR interests currently owned by FCX and PXP. MMR +74.3%, PXP +25.2%, FXC -13.2% premarket.

    McMoRan Exploration (MMR) now up 50% premarket as the WSJ says Freeport McMoRan's acquisition could be valued at close to $20B and may be announced today. Plains Exploration (PXP) - also maybe a target - gains 25%. FCX -9.3% premarket.

    McMoRan Exploration (MMR) soars 21% premarket after the FT reports Freeport McMoRan (FCX) is looking to get back into the energy production business, with MMR acquisition target #1. Another possibility is Plains Exploration (PXP), which has ties to both FCX and MMR.

    BP (BP +0.5%) completes its $5.6B sale of its interest in three BP-operated assets and two non-operated assets in the deepwater Gulf of Mexico to Plains Exploration & Production (PXP +1.4%). BP says it has entered into agreements to sell ~$37B in assets since the beginning of 2010.

    McMoRan Exploration (MMR -15%) shares plunge for a second day after reporting new difficulties at its Davy Jones field that add to doubts about its commercial viability. Capital One says MMR faces greater risk in light of yesterday's news, adding to negative comments from J.P. Morgan and RBC Capital. Other energy explorers with stakes in Davy Jones are impacted: PXP -0.8%, EXXI -1.7%.

    Plains Exploration (PXP) says Q3 preliminary daily sales volumes averaged ~105K boe/day; estimated Q3 average daily oil/liquids sales volumes increased 5% vs. Q2 and represented ~60% of total quarterly sales volumes. PXP says it has successfully syndicated $7B of committed financing to banks and institutional lenders.

    Chesapeake (CHK +1.5%) bounces back a bit after Plains Exploration's (PXP +1%) deal for BP Gulf assets sparked a 4% slide in CHK shares, as the deal served as a reminder of the pressure on gas-exposed E&P firms struggling to rejig asset portfolios amid depressed prices. Since PXP started its $3.7B JV with CHK four years ago to develop shale gas, nat gas prices have plunged below $3.

    Plains Exploration's (PXP -10%) debt-fueled $5.5B purchase of BP assets isn't seen as cheap by analysts, but PXP likely will pursue development options with the fields that could justify "a value above what the fields would be worth if left in BP's hands," Tudor Pickering says. CEO James Flores sees the chance to pick up assets BP didn't want to redevelop as a "once-in-a-cycle opportunity."
