    • Rambus (RMBS +0.7%) is acquiring analog/mixed-signal chipmaker Semtech's (SMTC +0.6%) Snowbush IP serial link IP assets for $32.5M up-front plus "additional payments based upon specific new product sales through the end of 2022."
    • Rambus says the purchase will complement its SerDes serial link IP portfolio, which has been licensed by IBM and others. CEO Ron Black: "By adding Snowbush IP into our portfolio, we are bolstering our SerDes business and accelerating our product position. This acquisition, along with our memory IP cores and chip business, will further build upon the existing product opportunities and expand our foundry partnerships."
    • The deal follows Rambus' $92.5M purchase of Smart Card Software, a U.K.-based developer of mobile payments and smart ticketing technologies.

    • Revenue fell sequentially on lower patent and technology revenue royalties, with the hit to patent revenues causing a slightly Y/Y decline as well; "Achieving revenue in this range will require that the company sign new customer agreements for mobile payments software and solutions licensing among other matters."
    • Revenue breakout: Royalties, $62.88M (down 6.1%); Contract and other revenue, $9.8M (up 64.8%).

    • "We continue to have strong conviction in the RMBS story, and we view CRD as the main growth engine for RMBS (with DIMM chipsets as a wildcard).
    • "As it relates to growth, upside to estimates and drivers of future share price appreciation, factors to consider are: 1) organic rev. growth (FY16 rev. guide assumes no org. growth; FY17 cons. rev. est. assumes only low-single-digit-% organic growth), 2) accretion potential for SCS acquisition as U.S. GAAP accounting treatment annualizes) and 3) potential success of the DDR4 DIMM chipset in FY17."
    • Firm believes that current 2017 consensus assumes no growth for the core RMBS business, no initial revenue contribution from DDR4 DIMM chipsets and no growth in the CRD business.

    • Rambus (NASDAQ:RMBS) is licensing patents covering countermeasures for DPA attacks to security chip IP core provider Athena Group for use in Athena cores designed into FPGAs and ASICs.
    • Rambus: "By leveraging these advanced countermeasures implementations, Athena customers can ensure the data integrity of products that run applications requiring a high level of security, particularly those serving the aerospace and defense sectors."
    • Rambus has previously struck security IP deals with Cisco and chipmaker Microsemi, among others. Shares are up 0.5% after hours to $13.09.
