    • Skullcandy (NASDAQ:SKUL) +4.7% premarket after receiving a buyout proposal from P-E firm Mill Road Capital for $6.05/share in cash, valuing the company at $173M.
    • In an SEC filing, Mill Road said it had acquired a 9.8% stake in SKUL during recent weeks.
    • On Friday, SKUL had agreed to be acquired by Incipio for $5.75/share, in a deal that includes a one month go-shop period to look for higher offers and a $6.2M termination fee that SKUL could pay to Incipio.

    • Skullcandy (SKUL +21.8%) agrees to be acquired by consumer technology provider Incipio for $177M, or $5.75/share, a 23% premium over yesterday’s closing price.
    • Closely held Incipio has several owned and licensed fashion and technology accessory brands, such as Incase smartphone cases and Tavik swimwear.
    • SKUL will have a one month go-shop period to look for higher offers, and the deal has a $6.2M termination fee that it could pay to Incipio.
    • SKUL had climbed 19% since founder Rick Alden reported takeover talks on June 7.

    • A week after Skullcandy (SKUL +3%) founder Rick Alden disclosed he wants to take the headphone maker private, Alden has filed a 13D containing a letter from Skullcandy regarding a confidentiality agreement between the company and Alden (and his associates).
    • Alden's Ptarmagin, LLC owns 12.7% of Skullcandy, and Alden personally owns another 2.7%. Shares are up 14% since last week's disclosure.

    • In a 13D filed after the bell, a firm (Ptarmagin, LLC) affiliated with founder/director Rick Alden has disclosed a 12.7% stake in Skullcandy (NASDAQ:SKUL), and says Alden "has determined to explore potential transactions in which he may cause one of his affiliates to make an offer to purchase some or all of the shares of [Skullcandy's] Common Stock or otherwise pursue a 'going private' transaction."
    • Skullcandy is up 10.4% after hours to $4.34. The company's market cap is currently $124M. In addition to shares held by Ptarmagin, Alden owns a 2.7% Skullcandy stake in his personal capacity.
