    • Elliptic Technologies provides cryptography cores and middleware, security protocol accelerators/processors, security IP modules, and other security-related IP for chipmakers and electronics firms. Synopsys (SNPS +1.5%) is buying the company for an undisclosed sum.
    • Synopsys states Elliptic's offerings will complement its DesignWare chip IP portfolio. The deal follows the acquisition of Codenomicon, a Finnish provider of software tools that help developers uncover/fix security issues.

    • A federal appeals court has denied a Synopsys (SNPS +0.9%) request to stay a March injunction on emulators and software deemed to be infringing a Mentor Graphics (MENT +3.5%) emulation patent.
    • Mentor was granted an injunction by an Oregon federal court, and also had a $36M award against Synopsys confirmed. At the time, Synopsys responded by stating it's working on a new version of its ZeBu Server software that doesn't infringe Mentor's IP, and that it will continue selling ZeBu Server emulation systems overseas.
    • Meanwhile, Synopsys has announced it's buying Codenomicon, a Finnish provider of software that helps developers uncover and fix security issues, as well as protect apps against attacks. Codenomicon's solutions (often embedded within chips/devices) complement Synopsys' existing developer tools. Deal terms are undisclosed.
    • Mentor is up strongly, and less than a dollar away from a 52-week high of $25.43.

    • Along with its Q1 results, Cadence (CDNS) announces it's buying Jasper Design Automation, a provider of verification software tools to chipmakers, system developers, and IP providers, for $170M in cash ($140M exc. cash on hand).
    • Cadence notes Jasper is a leader in the formal analysis segment of the verification tool market, and that many of the companies' joint customers are "increasingly adopting formal analysis to complement traditional verification methods, so as to better address the challenge of verifying increasingly complex and flexible IP designs and [SoCs]."
    • The deal is expected to close in Q2, and will be paid for using both cash on hand and a credit facility. Cadence sees Jasper's technology complementing its System Development Suite. Jasper competes against Cadence archrival Synopsys (SNPS), which offers clients its Magellan formal analysis product.
    • Cadence is guiding for Q2 revenue of $370M-$380M and EPS of $0.19-$0.21 vs. a consensus of $372.2M and $0.23. Full-year guidance is for revenue of $1.55B-$1.59B and EPS of $0.92-$1.02, in-line with. a consensus of $1.57B and $0.97.

    • Synopsys (SNPS) has acquired Target Compiler Technologies, a Belgian developer of tools for designing/programming ASIPs (a type of processor whose instruction set is fine-tuned to support a specific application). Terms are undisclosed.
    • While archrival Cadence made a splash last year by acquiring processor core IP developer Tensilica for $380M, Synopsys has been fairly quiet on the M&A front for a while. In 2012, Synopsys bought chip emulation software developer Eve.

    Cadence (CDNS) is acquiring processor core developer Tensilica for $380M in cash. The purchase marks a huge expansion of Cadence's IP licensing business for chipmakers - with Cadence's core chip design software ops showing limited growth, the company is apparently betting an expansion into complementary IP licensing fields will boost growth and help it stand out relative to archrival Synopsys (SNPS). Tensilica has over 200 licensees, including 7 of the world's top 10 chipmakers. The purchase will be financed using a combo of existing cash and a credit facility.

    Will MIPS' (MIPS +3.8%) efforts to find a buyer soon bear fruit? Benchmark's Gary Mobley thinks so: he claims a meeting with management left him remaining confident the CPU core developer/patent holder's "assets will be broken up and sold within the next four months." Mobley, who has a $10 PT, sees U.K.-based graphics core developer Imagination (IGNMF.PK) as the most logical buyer, but thinks a bid from ARM (ARMH), CEVA, or Synopsys (SNPS) is also possible.

    Synopsys (SNPS) is buying Taiwanese chip design software firm SpringSoft for $305M in cash. The price represents a 25% premium to SpringSoft's Friday close in Taipei. Synopsys expects the deal, which strengthens its offerings in the growing chip verification space, to be slightly accretive. "I hope they don’t get indigestion!," writes EE Times' Brian Bailey, noting the deal follows other Synopsys acquisitions. Rival Cadence (CDNS) has also been busy buying smaller peers.

    Cadence (CDNS) has acquired Sigrity, a developer of tools for analyzing signal integrity within chips, circuit boards, and systems, for $80M. The chip design software market is dominated by Cadence, Synopsys (SNPS), and Mentor Graphics (MENT), and the companies try to keep it that way with the help of acquisitions. Synopsys recently bought rival Magma Design for $507M.

    In tandem with its FQ4 report, Synopsys (SNPS) announces it's acquiring Magma Design (LAVA) for $7.35/share in cash - a 28% premium to Magma's closing price. The deal will cost Synopsys $507M net of cash and debt acquired, and will bolster its position as the world's largest provider of chip design software. Magma shares remain halted, while Synopsys is nearly unchanged.
