    In an attempt to simplify its structure, Energy Transfer Partners (ETP) agrees to acquire from Energy Transfer Equity (ETE) its interest in ETP Holdco for $1.4B in cash and $2.35B of newly issued ETP common units. ETP Holdco is the entity formed by ETP and ETE in 2012 to own the equity interests in Southern Union (SUG) and Sunoco (SUN).

    Regency (RGP) will finance its $1.5B purchase of Southern Union Gathering Company by issuing $900M of new units to Southern Union Company (SUG), with the remaining $600M to be paid in cash funded from long-term borrowings. (PR)

    Regency Energy Partners (RGP) will acquire Southern Union Gathering Company (SUGC) for $1.5B in a deal that will provide Regency with a 5,600 mile gas gathering system and expand its presence in the Permian Basin in the southern U.S. Regency is buying SUGC from Southern Union Company (SUG), a jointly owned affiliate of Energy Transfer Equity (ETE) and Energy Transfer Partners (ETP).     Pipeline operator Energy Transfer Equity (ETE) will drop down its interest in Southern Union (SUG), into a new unit called ETP Holdco that will be 60%-controlled by ETE and 40%-controlled related firm Energy Transfer Partners (ETP). The dropdown will take place when ETP closes its $5.35B of Southern Union, with Holdco also taking on Southern's assets. (PR)

    The top two execs at Southern Union (SUG) may collect up to $75M combined in the sale of their natural gas company to Energy Transfer Equity (ETE), according to an SEC filing. CEO George Lindemann may pocket $44.8M in cash, cashed-out stock and other benefits, while COO Eric Herschmann could collect $29.8M.

    Markets sniff out weakness, and the relentless selling in financials may be no more than frontrunning John Paulson, whose Advantage Plus fund is reportedly off 47% through September's end. Redemptions - perhaps massive ones - are a possibility, meaning Paulson will have to unload financial shares, and others, he has been so fond of. One could do worse than picking a bottom in the XLF on the day he is forced to give up on the sector.

    Southern Union (SUG) announces a plan to construct a new $235M natural gas processing plant with a completion date targeted for mid-2013. The project is in response to producer needs in the Avalon Shale, according to the company. (PR)
