    • The Pritzker Organization (TPO) has reportedly agreed to acquire TMS International (TMS), a provider of procurement and other services to steel mills, for $1B, including around $300M in debt.
    • The offer of $17.50 a share represents a 12.4% premium to the stock's closing price of $15.57 on Friday.
    • TPO, which is the investment firm of billionaire Tom Pritzker, is acquiring TMS after winning an auction. The latter's main owner is Canadian private-equity firm Onex (ONEXF.PK) with a 60% stake.

    Industrial services outsourcing firm TMS International (TMS +9.9%) pops after its Q3 handily beats estimates. Revenue jumped 19% Y/Y, despite higher raw material costs. Gross margins dipped to 24.6% compared to 25.9%, due in part to new contracts in start-up mode, increased overhead expenses and higher fuel costs. The company reaffirms guidance for FY11 in the range of $133M - $137M.

    Debutants had a mixed day yesterday, with car-sharing company Zipcar (ZIP) roaring 56% higher on Nasdaq and McDonald's South American franchisee Arcos Dorados (ARCO) jumping 25% on the NYSE. But TMS (TMS) and shipping company Box Ships (TEU) fell around 8%, also on the NYSE.

    Three IPOs have begun trading: TMS International (TMS) is at $12.54 after pricing at $13. Box Ships (TUE) is at $11.38 after pricing at $12 (vs. $15-17 expected). Arcos Dorados (ARCO) is at $21.55 after pricing at $17. Still to come: Zipcar (ZIP).
