    True Religion (TRLG) says that founder, Chairman and CEO Jeff Lubell has decided to step down. He's agreed to serve as Chairman Emeritus and a creative consultant to the company for a period of two years. The board appoints its President, Lynne Koplin, to serve as interim CEO. It's also formed a special committee of non-management directors and hired financial and legal advisors to evaluate possible strategic alternatives. Shares +3% AH.

    More on True Religion (TRLG): Q4 beats on both EPS and revenue estimates as total sales rise by 14.8% Y/Y. Net profit fell 6.8% however, as the jeans maker recorded a 21% increase in overhead costs from new store openings, which offset the higher sales. Gross margin widened slightly to 64.3% from 64.1%. Looking ahead to FY13, the company guides above Street expectations, now anticipating an EPS of between $1.89 to $1.95 on revenue of $509M to $513M. Analysts are looking for $1.86 on revenue of $495M. Shares +3.8% AH.

Net profit rose 3.6% as the jeans maker reported continued increases in direct consumer sales in the U.S., but the company cut FY12 earnings target to $1.80 - $1.86 per share, down from its previous target of $1.88 - $1.95. It also lowered the top end of revenue guidance by $5M, now seeing FY sales of $450M to $455M. Shares -13.1% AH.
