    More on Websense (WBSN)-Vista Equity Partners (previous): Websense shareholders will receive $24.75 in cash for each of their shares to mark a 29% premium over Friday's closing price. The company says it talked to several potential suitors before settling on the offer from the P-E firm. The transaction is slated to close during Q3 of 2013. (PR)

    Boutique research firm Off Wall Street has launched coverage on F5 (FFIV -4%) with a Sell and $70 PT, and has sent shares tumbling in the process. The report comes as F5 furthers its security ambitions by forming a partnership with Websense (WBSN). The companies have developed an enterprise security architecture that relies on F5's mainstay BIG-IP application delivery controllers and Websense's X10G and V-Series Web security/content inspection appliances.

The cybersecurity company also expects Q4 EPS of $0.27-0.28, below guidance of $0.32-0.35 and consensus of $0.33.     EMC COO David Goulder re-affirms his company's interest in buying security companies (previous). EMC, whose Q2 security software sales rose 13% Y/Y, has been looking to reduce its storage hardware exposure lately, as storage value-add increasingly shifts to software running on servers. Potential targets include richly-valued names such as Palo Alto Networks, Fortinet, and Sourcefire, and less costly vendors such as Vasco Data, IntraLinks, and Websense.

    As part of reporting in-line Q1 results, Websense (WBSN +4.5%) says it agrees to settle an outstanding dispute with the IRS relating to an audit of its 2005-2007 tax years. WBSN will pay $10M in federal tax plus $5M-$6M in state taxes and interest; it sees $4M in future tax benefits. The original amount of additional tax proposed by the IRS was $19M.

    Just hours after Interpol announces the arrests of 25 hackers linked to Anonymous, the international police agency’s website was targeted in a cyberattack that left it unreachable for a period of time. It's probably not the tipping point for cybersecurity stocks such as FTNT, WBSN, WAVX - but it adds to a growing discussion on how many companies and governments still remain ill-prepared to ward off sophisticated attacks on their systems.
