    • ZAGG (ZAGG) announced that its dollar share in Cellphone Screen Protection has reached a three-year high of 51% in the U.S. for April 2016.
    • “Recent changes in wireless provider contract terms have driven a consumer need to preserve a phone’s condition to maximize trade in value. As a result, we are seeing increasing consumer awareness and desire to purchase screen protection,” said Brian Stech, ZAGG’s EVP of Global Sales and Marketing.

    • ZAGG is down 12.5% after hours to $9.14 after missing Q4 estimates and reporting net income fell by $8M Y/Y to $5M. The mobile accessory maker saw screen protector sales rise Y/Y, but was hurt by weak tablet keyboard demand, lower audio product sales (blamed on "reduced product placement at a key customer"), and lower portable power sales.
    • Zagg has used its Q4 report to announce the closing of its $100M+ purchase of fellow accessory maker Mophie, and to issue guidance for the combined company. With Mophie revenue included from March 3 onwards, Zagg expects 2016 revenue of $442M-$460M and adjusted EBITDA of $60M-$65M. Notably, gross margin is expected to be in the low-to-mid 30s (less than Zagg's 2015 GM of 38%).
    • For the whole of 2016, Zagg proper is expected to produce revenue of $285M-$305M (+6%-13% Y/Y) and adjusted EBITDA of $44M-$47M. Mophie is expected to produce revenue of $210M-$230M (+3%-13% Y/Y) and adjusted EBITDA of $20M-$22M.
    • Gross margin fell to 37% in Q4 from 39% a year earlier. GAAP operating expenses rose by $1.5M to $21M. $14.9M was spent to repurchase 2M shares over the whole of 2015 at an average price of $7.32.

    • A number of economists have revised their forecast upward on the part of consumer spending tied to low-ticket household/clothing/recreational items.
    • The Container Store (TCS +10.4%), Zagg (ZAGG +7.9%), Pier 1 Imports (PIR +4.2%), Chico's (FAS +3.4%), Five Below (FIVE +3%), and Destination XL Group (DXLG +5.5%) are notable gainers.
    • The sporting goods sector is also showing strength - Hibbett Sports (HIBB +3.6%), Cabela's (CAB +3.7%), Dick's Sporting Goods (DKS +2.4%), and Big 5 Sporting Goods (BGFV +1.9%) are all ahead of broad market averages.

    • Believing the company will deliver a strong Q4 report and calling its planned $100M+ acquisition of fellow mobile accessory maker Mophie "highly advantageous," Northland Securities has upgraded Zagg (ZAGG +2.7%) to Outperform. Shares are higher on a day most stocks aren't.
    • Wunderlich's Rommel Dionsio talked up the Mophie deal last week, and forecast Zagg will now deliver 2016 revenue of $449M and EPS of $0.85 (compares with prior estimates of $261M and $0.76). Dionsio: "[B]oth companies utilize engineering and production resources in China, along with a global network of distribution facilities, which can be integrated. Furthermore, an improved technology platform can enhance and accelerate future product development efforts ... ZAGG has significantly grown its retail network in Europe and Asia the past several quarters, and can potentially market mophie’s product line through these new global retail partners."
    • Zagg is paying $100M up-front for Mophie, along with "the amount by which 5X Adjusted EBITDA exceeds $100 million over a 12-month earn-out period." The deal is expected to close in Q1.

    • Mobile accessory maker Zagg (ZAGG -1.4%) is acquiring Mophie in an effort to lead market share in more accessory categories.
    • The combined firm will play in external batteries as well as battery cases, screen protection and tablet keyboards. The two companies together logged net sales in 2015 of about $470M.
    • The companies say their merger will result in an improved technology platform (with stronger engineering in China) and a global distribution network, and a stronger financial profile by leveraging operational efficiencies.
    • ZAGG is up 3.2% in after-hours action.

The company has also filed to sell 80.1K shares obtained by foreclosure of a judgment lien, and to allow seven existing holders to collectively sell up to 194.3K shares obtained via warrant exercises at their discretion.
