(<a href='http://seekingalpha.com/symbol/vvus' title='More opinion and analysis of VVUS'>VVUS</a>) and Orexigen Therapeutics (<a href='http://seekingalpha.com/symbol/orex' title='More opinion and analysis of OREX'>OREX</a>), but yesterday it was mid-cap Amylin Pharmaceuticals (<a href='http://seekingalpha.com/symbol/amln' title='More opinion and analysis of AMLN'>AMLN</a>) that signed the first partnership in what was originally perceived to be a three-horse race.</p><p>Amylin and Takeda Pharmaceutical Company Limited (<a href='http://seekingalpha.com/symbol/tkphf.pk' title='More opinion and analysis of TKPHF.PK'>TKPHF.PK</a>) entered into a worldwide exclusive license, development and commercialization agreement to co-develop and commercialize pramlintide/metreleptin and davalintide, two phase II compounds for the treatment of obesity. As part of the transaction, Amylin will receive a one-time up-front payment of $75 million from Takeda.</p>]]>

        <![CDATA[<p>For all the debate about possible reform to the U.S. medical system, it is easy to forget that the majority of major innovations in drugs and medical devices come from America.  It is worth remembering that even with all the problems troubling the health care system, innovation continues to be a bright spot.  Three of the biggest gains among individual stocks on Monday were from U.S. companies in the pharmaceutical sector largely because of this sort of innovation..</p> <p><a href="http://www.ockhamresearch.com/Healthcare/Drugs/Biotechnology/HGSI"><img src="http://static.seekingalpha.com/uploads/2009/11/2/saupload_hgsi.jpg" align="right" style="margin: 5px;" alt="HGSI" /></a> The biggest winner in today&rsquo;s action are investors in <a href="http://www.ockhamresearch.com/Healthcare/Drugs/Biotechnology/HGSI">Human Genome Sciences</a> (<a href='http://seekingalpha.com/symbol/hgsi' title='More opinion and analysis of HGSI'>HGSI</a>) which is up more than 30% in afternoon trading following the completion of their second successful late stage clinical trials for a treatment of Lupus.  We first wrote about this company after the completion of their first major trial on this drug in July (<a href="http://blog.ockhamresearch.com/index.php/2009/07/hgsis-lupus-drug-shows-great-potential/">HGSI&rsquo;s Lupus Drug Shows Great Potential</a>), and the stock is up huge again after positive results for this difficult to treat disease.  The stock is hitting multi-year highs above $24, and the stock is up more than 600% since the first trial was completed. His comments were at odds with those of Chancellor of the Exchequer Alistair Darling, who said yesterday focusing on capital rules may be enough to ward off future crises. Meanwhile, on this side of the Atlantic, Paul Volcker <a href="http://www.nytimes.com/2009/10/21/business/21volcker.html">keeps pounding the desk</a> to split up banks, but no one's listening.</li>    <li><b><a href="http://www.nytimes.com/2009/10/21/business/21street.html">State Street slapped with fraud suit.</a></b> The California AG's office charged State Street (<a href='http://seekingalpha.com/symbol/stt' title='More opinion and analysis of STT'>STT</a>) with fraud Tuesday, accusing it of bilking the state's two largest pension funds - Calpers and Calstrs - of $57M, and seeking $200M in overcharges and penalties (<a href="http://graphics8.nytimes.com/packages/pdf/business/21CaliforniaAGComplaint.pdf">complaint (.pdf)</a>). The lawsuit stems from an inquiry launched after a whistleblower claimed State Street secretly and substantially marked up the price of its currency trades. State Street beat Q3 earnings estimates Tuesday, but shares dived <font color="red">8.4%</font> on news of the lawsuit and a sobering outlook.</li>    <li><b><a href="http://www.nytimes.com/2009/10/21/technology/companies/21yahoo.html">Yahoo defies bears.</a></b> Shares of Yahoo (<a href='http://seekingalpha.com/symbol/yhoo' title='More opinion and analysis of YHOO'>YHOO</a>) are up <font color="green">4.6%</font> premarket after the internet giant beat Q3 earnings estimates handily with the help of some serious cost cutting ($0.13/share vs. $0.06), while revenue was steady from last quarter at $1.13B. &quot;There's a change occurring in Yahoo,&quot; CFO Tim Morse said on Yahoo's earnings call (<a href="http://seekingalpha.com/article/167691-yahoo-q3-2009-earnings-call-transcript-first-draft?page=-1">transcript</a>), &quot;that will value that kind of work - that good old-fashioned, get-your-hands-dirty kind of find ways to take costs down or make sure that they don't go up as much as they otherwise would have - type work.&quot; Analysts were impressed with the quarter, but said the real test of Yahoo's massive branding initiative <a href="http://seekingalpha.com/market_currents/post/34597">would come in Q4</a>. Bernstein's Jeffrey Lindsay summed it up: &quot;The patient is off life support and back in the recovery ward. But it is certainly not out playing soccer again.&quot;</li>    <li><b><a href="http://www.bloomberg.com/apps/news?pid=20601087&amp;sid=axoH1_prewz8">Shedding light on the dark pools.</a></b> In an effort to bring transparency to famously opaque &quot;dark pool&quot; off-exchange trading cliques on which Wall Street firms execute some of their largest trades, the SEC will reportedly today <a href="http://www.sec.gov/news/openmeetings/2009/agenda102109.htm">propose</a> slashing the percent of daily volume in a company's shares that can be executed on the systems before quotes must be publicized to 0.25% from 5%. The move would force dark pools to either bring their prices in line with open markets, or risk losing their order flow. Logi said the deal could give CIT &quot;wiggle room&quot; as it works to sidestep bankruptcy. Meanwhile, on this side of the Atlantic, Paul Volcker <a href="http://www.nytimes.com/2009/10/21/business/21volcker.html">keeps pounding the desk</a> to split up banks, but no one's listening.</li>    <li><b><a href="http://www.nytimes.com/2009/10/21/business/21street.html">State Street slapped with fraud suit.</a></b> The California AG's office charged State Street (<a href='http://seekingalpha.com/symbol/stt' title='More opinion and analysis of STT'>STT</a>) with fraud Tuesday, accusing it of bilking the state's two largest pension funds - Calpers and Calstrs - of $57M, and seeking $200M in overcharges and penalties (<a href="http://graphics8.nytimes.com/packages/pdf/business/21CaliforniaAGComplaint.pdf">complaint (.pdf)</a>). The lawsuit stems from an inquiry launched after a whistleblower claimed State Street secretly and substantially marked up the price of its currency trades. State Street beat Q3 earnings estimates Tuesday, but shares dived <font color="red">8.4%</font> on news of the lawsuit and a sobering outlook.</li>    <li><b><a href="http://www.nytimes.com/2009/10/21/technology/companies/21yahoo.html">Yahoo defies bears.</a></b> Shares of Yahoo (<a href='http://seekingalpha.com/symbol/yhoo' title='More opinion and analysis of YHOO'>YHOO</a>) are up <font color="green">4.6%</font> premarket after the internet giant beat Q3 earnings estimates handily with the help of some serious cost cutting ($0.13/share vs. $0.06), while revenue was steady from last quarter at $1.13B. &quot;There's a change occurring in Yahoo,&quot; CFO Tim Morse said on Yahoo's earnings call (<a href="http://seekingalpha.com/article/167691-yahoo-q3-2009-earnings-call-transcript-first-draft?page=-1">transcript</a>), &quot;that will value that kind of work - that good old-fashioned, get-your-hands-dirty kind of find ways to take costs down or make sure that they don't go up as much as they otherwise would have - type work.&quot; Analysts were impressed with the quarter, but said the real test of Yahoo's massive branding initiative <a href="http://seekingalpha.com/market_currents/post/34597">would come in Q4</a>. The deal has been valued at $23 per share or $2.6 billion. They may also be forced to compete with generic imports, which would effectively put a cap on domestic drug prices. Obama also sketched out a vision for the plan to make it <b>illegal</b> for insurers to drop sick people or deny them coverage for pre-existing conditions, and every American would be <b>required </b>to carry health coverage similar to a driver&rsquo;s license or auto insurance.</span></div><div><img src="http://static.seekingalpha.com/uploads/2009/9/14/321507-125294756927677-James-Rickman.jpg" hspace="6" vspace="6" /> </div><div><span>The U.S. Senate version would expand coverage by requiring individuals to get insurance and employers to contribute to the cost. Critics charge the plan is inefficient, creates unnecessary bureaucracy, and imposes mandates and tax hikes on small businesses to pay for it.</span></div><div> </div><div><span>Despite all its risks and drawbacks, though, healthcare is still a very good business. People still get sick during recessions and they will often continue paying for medicine and treatment even when they cut back on other things. </span></div><div> </div><div><span>The number of people without insurance coverage rose from 45.7 million in 2007 to 46.3 million in 2008. Despite that increase, the percentage of uninsured in the population remained unchanged at 15.4 percent. But with growing unemployment, it&rsquo;s likely that it jumped again this year. While this is just the proverbial camel&rsquo;s nose under the tent, and retail clinics have not expanded to the extent that was predicted, primary-care physicians will watch this development warily. This means that more than one-third of all Americans have these conditions to one degree or another. The study estimated that one year's cost of treatment of these conditions at $277 billion, but estimated lost economic productivity to be vastly higher at $1 trillion. In other words, lost work and lost output due to these illnesses is reducing the nation's GDP by about 10%. These burdens could be vastly reduced through better consumer practices and better preventative medicine. For example, obesity, lack of exercise and cigarette smoking are immense contributors to these diseases. The U.S. Surgeon General estimates that obesity alone results in 300,000 American deaths and $117 billion in health care costs each year.</span></div><div> </div><div><em><strong><span>Conclusion </span></strong></em><span><br>The healthcare sector in the U.S. over the next 12-months will continue to consolidate with budget pressures driving political policy and cost effective medical solutions. The market as a whole will see <b>growth of 7% or more</b> annually as 98 million baby boomers retire within five years. The fragmented medical diagnostic lab sector, digital medical records technologies and medical imaging niche markets remain ripe for M&amp;A activity.  <br><br><span>As shown in the chart below, every size category of U.S. small business except for 100 to 499 employees, a smaller share of the labor force was employed in 2006 than in 1988. And even the 100 to 499 employee category increased its share of the labor force by only 0.1 percent. While the terms of the collaboration were not disclosed, the companies said that they will share development costs. Amylin will use its technology to develop a peptide hybrid molecule that combines the pharmacological effects of two peptide hormones into a single molecular entity. Biocon will use its expertise in recombinant microbial expression to manufacture the compound and help move it through preclinical and clinical development. The deal could be very fruitful for both companies as the incidence of diabetes continues to grow worldwide, especially in both India and the United States.</div> <div> </div> <div>In the largest announced M&amp;A transaction of the week, Abbot (<a href='http://seekingalpha.com/symbol/abt' title='More opinion and analysis of ABT'>ABT</a>) expanded its vascular portfolio with an agreement to acquire privately held Evalve, a leading developer of devices for minimally invasive repair of cardiac mitral valves. Abbott will gain a presence in the growing area of non-surgical treatment for structural heart disease, in which physicians use catheter-based devices to repair or replace basic structural components of the heart such as mitral and aortic valves. Under the terms of the agreement Abbott will acquire the 90 percent of outstanding equity of Evalve that it does not already own for an upfront payment of $320 million in cash, plus an additional $90 million payment if certain regulatory milestones are met. The transaction is expected to close by the end of the year. Menlo Park, California-based Evalve was founded in 1999 by The Foundry and Fred St. Goar.</div> <div> </div> <div>According to a recent filing with the U.S. Securities and Exchange Commission, Ironwood Pharmaceuticals has taken in another round of financing, raising $25 million from a group of unnamed investors. Seattle-based gene therapy company Targeted Genetics (<a href='http://seekingalpha.com/symbol/tgen' title='More opinion and analysis of TGEN'>TGEN</a>), which has been running on empty for the last few months, struck a last minute deal to sell its most valuable assets to Genzyme (<a href='http://seekingalpha.com/symbol/genz' title='More opinion and analysis of GENZ'>GENZ</a>) for $7 million in cash, with $3.5 million upfront and the rest upon completion of the asset transfer. Genzyme will get manufacturing technologies and other adeno-associated viral vector technology, consisting primarily of patents, know-how and manufacturing-related equipment. Genzyme also received a license to use certain technology and materials necessary for manufacturing the viral vectors.</div> <div> </div> <div>Targeted Genetics will work with Genzyme to transfer the acquired technology and assist in its implementation which is expected to be completed by the end of the year. Targeted Genetics is also eligible to receive revenue from Genzyme if the IP is sublicensed and will receive royalties in the event of commercial sales of products containing AAV vectors covered by the acquired IP.</div> <div> </div> <div>Targeted Genetics isn&rsquo;t giving up everything. They can indicate a wide range of potential risks, with varying degrees of probability, but one thing is for sure. The term Black Box is downright scary and it frequently highlights a serious, though perhaps very improbable, health risk such as, well, death.</p> <p>Still, to be fair, it <em>could</em> be simply telling me about a suicide risk that has 1/100th the probability of me similarly dying when I get behind the wheel of a car. And given the dark name, I'm far less inclined to risk the Black Box warning than to drive to the corner store. So perhaps this is a problem, that the term Black Box is too scary even if it does warn of some pretty unfortunate risks.</p></div>]]>

The term Black Box is downright scary and it frequently highlights a serious, though perhaps very improbable, health risk such as, well, death.</p> <p>Still, to be fair, it <em>could</em> be simply telling me about a suicide risk that has 1/100th the probability of me similarly dying when I get behind the wheel of a car. And given the dark name, I'm far less inclined to risk the Black Box warning than to drive to the corner store. It appears BIIB might have been contacting major institutional shareholders and trying to convince them to change their minds. Does the change of power for billion dollar companies really come down to whoever can delay a vote by boring an audience by talking amino acids all morning? Playground tactics in the world of biotech.</p> <p>Nevertheless, in the end, Mr. Icahn managed to get <a href="http://www.bizjournals.com/triangle/stories/2009/06/08/daily31.html">two of his four nominee</a>s on the Biogen Idec board despite the Biogen filibuster. With the recent Amylin victory (added 2 board members there as well), Mr. Icahn is now clearly on a roll, undoubtedly helped by collapsed stock markets and biotech share prices which make any argument for management change more compelling. Still, the benefit of market sentiment aside, Icahn's victories are likely to be positive for AMLN and BIIB's future realization of value and stock price performance. It's nice to know that someone with influence is clearly lined up with shareholder interests, given Mr. Icahn's sizable stake. This is better than can be said for most companies.</p>]]>

On Tuesday, the activists received even more good news when they learned that among the two directors who lost their seats was Joseph C. Cook, Jr., Amylin's Chairman. Industry analysts expect the activist investors to use their new power to influence and alter the strategic direction of the company.  </p><p>Throughout the heated proxy contest, Mr. Icahn had been very critical of Mr. Cook and had called for his resignation. Mr. Cook has been the Chairman of the Board since March 1998 and currently serves as chair of the company&rsquo;s Finance Committee. He served as Chief Executive Officer of Amylin from March 1998 until September 2003.</p>]]>
