    Needham downgrades eBay (EBAY -6.4%) to Hold following its Q2 revenue miss and light Q3 guidance, citing international softness and "slowing Marketplace fundamentals." Though granting eBay is taking steps to revamp Marketplaces, the firm doesn't "expect any single investment to serve as a momentum-changing catalyst in the near term." Top-rated sellers (22% Q2 same-store sales growth) and mobile (2M new users, 5.6M listings/week, $20B+ in 2013 transactions expected) remain areas of strength for Marketplaces. Amazon (AMZN -1.2%) continues to follow eBay lower, but Overstock (OSTK +15.7%) is soaring after trouncing Q2 estimates and reporting a 170 bps Y/Y increase in gross margin to 19.7%.     eBay (EBAY) is guiding for Q3 revenue of $3.85B-$3.95B and EPS of $0.61-$0.63, below a consensus of $3.97B and $0.65. 2013 guidance is for revenue of $16B-$16.5B and EPS of $2.70-$2.75 vs. a consensus of $16.3B and $2.75. The company says "macroeconomic headwinds in Europe and Korea will continue to be a challenge" in 2H. PayPal revenue +20% Y/Y in Q2, up from Q1's 18%.     More bad news for leading Groupon (GRPN +5.7%) rival LivingSocial: the company has shuttered both its NYC office and local events unit in an effort to pare costs. The moves come a month after the company closed its Seattle office and requested employees work remotely. LivingSocial, 29%-owned by Amazon (AMZN), posted a $50M net loss in Q1 to go with revenue of $135M (+23% Y/Y).

    Rackspace (RAX -3.3%) dives after Amazon Web Services (AMZN +0.2%) cuts EC2 cloud computing prices for dedicated instances (i.e. hardware dedicated to a single client) by up to 80%. Though AWS is known for cutting prices early and often, the size of this cut makes it noteworthy. Moreover, the fact it covers dedicated hardware suggests Amazon is taking aim not only at the cloud infrastructure services provided by the likes of Rackspace, Microsoft, and Google, but also the traditional hosting services offered  by Rackspace and others.

    Barnes & Noble (BKS -20.3%) is exiting the tablet market and will focus its hardware efforts on e-readers, the book retailer announces in tandem with its bleak FQ4 results and FY14 guidance. With B&N's tablet share having cratered and the Nook division reporting $133M in inventory charges for FQ4, the decision isn't hard to fathom. B&N says it will "continue to offer its existing inventory" of Nook tablets through the holiday season, and will seek out partners to make B&N-branded tablets. Amazon (AMZN) must be pleased, given the overlap between the Nook HD and Kindle Fire's targeted customers, and the fact B&N remains a top e-book competitor.

    Amazon (AMZN +3.3%), eBay (EBAY +2.4%), and Overstock (OSTK +5.1%) outperform after May's consumer confidence print comes in at 76.1, well above a consensus of 71.5. Amazon and eBay rallied 11 days ago in response to strong mid-May consumer sentiment data.

    Amazon (AMZN -6.9%) is giving back most of its 2013 gains as the Street decides a revenue miss and light profit guidance outweigh a still-improving gross margin. Slowing growth and a lack of profits for the international ops is a concern for many, even if forex is a factor - international media sales rose only 1% Y/Y, though other merchandise sales rose 28%. On the earnings call, management admitted (echoing eBay) "there is some [international] softness from a macro standpoint," while adding Amazon is investing heavily in China, Italy, and Spain. Nomura is staying bullish, touting the fact total growth is holding steady.

    Amazon's (AMZN) Q1 Y/Y paid unit growth was 30%, the company discloses in its CC; that's down from Q4's 32% and Q3's 39%, but still above rev. growth of 22%. 3rd-party sellers (some of them upset over fee hikes) made up 40% of unit sales vs. 39% in Q4 and 41% in Q3; they've been a major source of gross margin growth. Digital content sales growth slowed down, leading physical units to rise over 300 bps Y/Y as a % of total units. Forex expected to have a 275 bps impact on Q2 rev. growth. North America had a $457M op. profit in Q1, international a $16M op. loss. Active customer accounts rose to 209M+ from 200M+ in Q4.  AMZN now -3% AH. (Q1: I, II)
