    Health insurer WellPoint (WLP) is reorganizing into four business groups in a move that interim CEO John Cannon says will smooth the integration of Amerigroup (AGP), which WellPoint is acquiring for $4.9B. The units will be Medicare, Medicaid, commercial & individual, and dental, vision & disability coverage, with Amerigroup CEO James Carlson set to take charge of the Medicaid division.

    Amerigroup (AGP) has delayed a shareholder vote on its $4.5B acquisition by WellPoint (WLP) by two weeks, and will now hold it on Oct 23. The postponement comes after investors sued Amerigroup's board, arguing that adviser Goldman Sachs (GS) was "hopelessly conflicted" and pushed Amerigroup into a deal with WellPoint over a more lucrative bid from another suitor. Amerigroup is also now open to a better offer.

    Around 12M people will buy $55B worth of health coverage in 2014 via the insurance exchanges being created as part of Obamacare, PWC predicts, adding that the figures could rise to 29M people and $205B respectively by 2021. Most of the money will be new, although some will come from other parts of the market, such as from people whose employers had paid for coverage until now.

    "Here's a pot of money, go shop." A major change is underfoot in the way firms provide employee health coverage, as Sears and Darden Restaurants - instead of offering insurance - prep to instead give workers cash and let them choose coverage from an online marketplace. WellPoint (WLP), AON, and Towers Watson (TW) are placing bets on the new model sticking, while UnitedHealth (UNH) is taking a wait-and-see approach.

    Wellpoint (WLP) hires Spencer Stuart to help it find a new CEO after former CEO Angela Braly resigned suddenly last month. The company says it expects the search to take three to six months.

    Wellpoint (WLP -1.6%) slides on comments made today at Morgan Stanley’s healthcare conference, where CFO Wayne DeVeydt said the insurer isn't ready to provide guidance for its 2013 results. Mr. DeVeydt cites difficulties with its commercial business and changes associated with the Affordable Care act. He also added that the company hadn't yet set a timeline for finding a permanent replacement for former CEO Angela Braly, who resigned on August 28. (Webcast)

    Companies sold $28.9B in bonds in the first two trading days this week, the busiest two-day period since March 6 and more than doubling the $13.4B issued in the past two weeks. Issuers have been eager to take advantage of sub-3% rates on investment grade bonds; this week, Wellpoint (WLP) and Principal Financial (PFG) are two of the largest.

    The sudden departure of WellPoint (WLP) CEO Angela Braly isn’t likely to endanger the health insurer's $4.5B deal for Amerigroup (AGP). Several analysts say the recently sped-up timeline WLP announced, which has the deal closing in Q4 rather than early next year, was a positive signal; some even suggest AGP CEO Jim Carlson as a potential replacement for Braly. WLP +4.3% premarket.

    Angela Braly steps down from posts as CEO, president and chair of WellPoint (WLP), which names EVP John Cannon to lead in the interim, and says it's beginning a search for replacements. Cannon has told the board he doesn't want the permanent CEO job. WLP up 3.7% AH.

    The DOJ has requested more information from Amerigroup (AGP) and WellPoint (WLP) about the latter's $4.46B acquisition of Amerigroup. Justice has also extended the waiting period for the closing of the deal, which was due to expire on Wednesday. Amerigroup now expects the transaction to close in Q4, it said yesterday.

    Daniel Loeb may chastise Pres. Obama, says Andrew Ross Sorkin, but look at Loeb's recent investments: Aetna (AET), Cigna (CI), Humana (HUM), UnitedHealth (UNH) and WellPoint (WLP) stand to benefit if Obamacare remains in force, while a repeal could send shares diving. Like others, Sorkin reckons industry consolidation represents multi-billion dollar bets that the Health Act is here to stay.

    WellPoint (WLP -1.4%) dips after Morgan Stanley cut the shares to Equal-Weight this morning. The firm says it's facing more pressure from an unfavorable mix of commercial health-insurance prices and medical costs, and its "risk-reward looks less compelling" than that of its peers. WLP cut FY12 guidance last month due to waning membership, and Morgan sees that that trend continuing over the second half as well.
