    BMC Software (BMC +2%) spikes a little after InformationWeek reports tech giants and P-E investors have expressed interest in buying part or all of the company. The tech companies aren't specifically named, but are said to be from a list that includes Dell, Cisco, Oracle, EMC, and IBM. Activist investor Elliott Associates is pushing for a sale, but BMC has thus far resisted its efforts. Rival Quest Software (QSFT +4%) is rallying on reports Dell is in talks to buy the company.

    Quest Software (QSFT +4.3%) jumps to $26.26, 14% above IVP's $23/share buyout price, following a Bloomberg report that Dell (DELL) is interested in the systems management software vendor. Following Dell's recent crash, Quest's market cap is nearly equal to 10% of Dell's. A Dell buyout could lead to interest from another IT giant in Quest rival BMC Software (BMC +1.1%), which is under pressure to sell itself.

    BMC Software (BMC +2.8%) follows the tech sector higher after 5.5% activist shareholder Elliott Associates issues a PR questioning recent comments from BMC about the health of its business, and the company responds with a short PR defending its remarks. BMC rallied a week ago on news of Elliott's stake in the company, even though it adopted a poison pill in response.

    SolarWinds (SWI +3.9%) and Splunk (SPLK +1.4%) outperform after being mentioned positively in Elliott Associates' open letter to BMC Software's (BMC +1.6%) board. The enterprise software firms are named as companies BMC should have acquired to bolster its software-as-a-service (SaaS) offerings, but are now too richly priced to justify a purchase. (previous)

    Elliott Associates officially discloses a 5.5% stake in BMC Software (BMC -0.6%) and makes five nominations for BMC's board, with the goal of having the company explore a sale. BMC responds with a terse PR that claims "a sale at this time is not in the best interests of stockholders." BMC shares surged yesterday on news of Elliott's stake, in spite of the company's adoption of a poison pill in response.

    BMC Software (BMC +8.9%) is up sharply after disclosing Elliott Associates' 5%+ stake, and its adoption of a poison pill in response. The fact Elliott took positions in Novell and Blue Coat Systems prior to their sales isn't lost on investors. JG Capital's Jeff Gaggin thinks Oracle (ORCL) will make an offer for BMC in order to better compete with IBM in systems management software. BMC rival Quest Software (QSFT) is currently up for sale.

    BMC Software (BMC) adopts a poison pill after it was notified that Elliott Management acquired over 5% the company and will file a 13D with the SEC shortly detailing the transaction. Shares +0.3% premarket.

    More on BMC Software (BMC): FQ4 comes in mixed, beating on revenue but missing on its EPS results. Net earnings fell 42% Y/Y on a 9% jump in operating expenses. Operating margins also narrowed to 18.8% from 25.2%. The company forecast FY12 earnings toward the high-side of estimates, now expecting to earn $ 3.49 - $3.59 per share on revenue growth in the mid-to-high single digits. Street estimates are for $3.50 per share on 5% revenue growth.

    ServiceNow, a provider of a cloud-based platform for managing and automating business IT operations, is filing for a $150M IPO under the ticker NOW. ServiceNow, which is trying to undercut traditional systems management software from the likes of CA, BMC Software (BMC), IBM and H-P, posted revenue of $64.9M (+95% Y/Y) in the 6 months ending Dec. 31, and a net loss of $6.7M.     "Free cash flow is king," goes the title of BAML research determining free cash flow/enterprise value as a superior screening metric. Among the S&P 500 firms with the best readings are short-seller favorites GameStop (GME) and Best Buy (BBY) along with 2 health insurance companies (HUM, WLP) dogged by uncertainties about healthcare reform.     More on BMC Software's FQ3: BMC's R&D and SG&A expenses both fell Y/Y, helping earnings beat estimates in spite of the revenue miss. The decline in bookings is due to a 23% Y/Y drop for BMC's ESM server management software unit, which has struggled with sales execution issues. The price for BMC's acquisition of Numara Software is disclosed to be $300M. BMC -1.1% AH. (PR)
