In tandem with its Q1 results, magicJack (CALL) announces Peter Russo is being replaced as CFO by Jose Gordo, who prior to recently joining the company co-founded an investment firm (but apparently left after two years). Russo will remain with the company as a consultant. magicJack is guiding for 2013 revenue of $155M-$160M, which compares with 2012 revenue of $158.4M - no consensus forecast exists. No proceeds were generated from put sales during Q1, but a $1M fair value loss was recorded on put option holdings. Shares -5.4% AH. (PR)

More on magicJack VocalTec (CALL): Q4 beats across the board on a 56% surge in total sales. Net revenue from the sales of magicJack and magicJack PLUS increased 88% to $19.1M. Access rights renewal revenue came in at $12M, an increase of 19% Y/Y, and accounted for 29% of total revenue. The company also announces some new additions to its board, appointing Richard Harris to its Board of Directors and Jose Gordo as Senior Vice President of Finance. Shares +14.5% AH.

After a lengthy delay, magicJack VocalTec (CALL +6.1%) announces it will deliver its Q4 report after tomorrow's close. That's fueling a rally in shares of the VoIP hardware/service provider, which has become a favorite of shorts (40.6% of the float shorted as of March 15) amidst widespread scrutiny of its accounting/business practices. The WSJrecently observed magicJack's use of put sales to fund its buyback program may have begun backfiring thanks to a declining stock price.

magicJack Vocaltec (CALL -11.5%) closes with giant losses after Copperfield Research issues a report taking aim at the company's accounting and trustworthiness. Among other things, Copperfield accuses magicJack of overstating revenue, earnings, and cash flow in earnings releases relative to SEC filings, and of using put option trades and other questionable investments to inflate earnings. It also notes CEO Dan Borislow has been sued for securities fraud in the past, and has sold shares after using them as collateral against personal debt. (SA Instablog)

MagicJack VocalTec (CALL) +7.5% premarket after raising its outlook for Q4 and full-year 2012. For Q4, CALL expects more than $0.70/share of operating income, and has reduced share count by ~500K and increased cash by $6M since Q3. Also appoints Gerald Vento as President and CEO effective Jan. 1; founder Daniel Borislow will lead new marketing and product development initiatives.

magicJack VocalTec (CALL +4.7%) rallies after CEO Dan Borislow tells Bloomberg his company should beat Q4 estimates, and is "stumped" by the recent drop in its shares. Also: magicJack disclosed today it has settled a payment dispute with Verizon, and announced it has developed a VoIP box that can more easily work with Wi-Fi and 4G connections thanks to its inclusion of additional ports.

Only 3 weeks after posting solid Q3 results and 2012 guidance, magicJack VocalTek (CALL +9.2%) says it expects 2012 GAAP EPS to be above its "previous estimated range." The provider of VoIP hardware and services said in its Q3 PR it has "a good chance to achieve over $2.00 GAAP EPS" for 2012. (PR)
