        <![CDATA[<p>It should come as little surprise that many stocks that make it into the <a href="http://www.magicformulainvesting.com/">Magic Formula Investing [MFI] screen</a> are attractive acquisition targets. Many, if not most, are good businesses selling at cheap prices, exactly what the screen is designed to find. When you have quality selling cheap, not only individual investors but business managers, both public and private, take notice as well. Particularly if the screened business is one that is a current or potential competitor, or a business that nicely compliments current operations, it makes sense to acquire it at a favorable price. When this happens, investors reap big rewards in short periods of time.</p><p>Of course, there is the other side of the coin too - declining businesses or heavy cyclicals can find their way onto the screen as well, usually well into the downside. With these firms we need to be very careful - too much debt can land them in bankruptcy court. Unfortunately, MFI has turned up a few of these as well. Let's take a look at some individual &quot;buyouts and bankruptcies&quot; on the MFI screen in 2009.</p>]]>

      <title>Tuesday Options Update: CF, PCLN, XLF, CX &amp; CAR </title>

(<a href='http://seekingalpha.com/symbol/cf' title='More opinion and analysis of CF'>CF</a>) </strong>&ndash; Bearish option plays appeared on the manufacturer of nitrogen and phosphate fertilizer products today after the firm rejected rival Agrium Inc.&rsquo;s increased takeover offer of $4.52 billion. Shares of CF are currently trading 4% lower to $77.20. Investors purchased put options at the now in-the-money December 80 strike for an average premium of 6.70 apiece. Perhaps put-buyers are protecting long stock positions. Otherwise, they are hoping to accrue profits if shares of CF decline through the effective breakeven price of $73.30. Another trader unraveled a previously established bullish play in the January 2010 contract. The investor originally placed an extremely bullish 8,500-lot call spread at the January 90/100 strikes. However, the trader abandoned bullish sentiment today by closing out the spread. Option implied volatility on CF jumped 7.5% over Monday&rsquo;s closing value of 52.9% to reach an intraday high of 55.9%. </p>    <p><strong>Priceline.com, Inc. (<a href='http://seekingalpha.com/symbol/pcln' title='More opinion and analysis of PCLN'>PCLN</a>)</strong> &ndash; Third-quarter sales and profit at online travel agency, Priceline.com, exceeded analyst expectations and sent shares up 19% today to a new 52-week high of $206.78. PCLN posted earnings of $3.45 per share whereas previous forecasts averaged around $2.92 per share. Priceline raked in 30% higher sales of $730.7 million for the quarter. Investors initiated bullish stances on the stock by purchasing 3,200 calls at the November 210 strike for an average premium of 2.72 apiece. Traders will profit if shares of PCLN continue to rally another 4% and surpass the breakeven price of $212.72 by expiration this month. Nearly 1,000 call options were purchased at the November 230 strike for approximately 64 cents premium each. Investors long the November 230 strike calls could already reel in short term profits by selling the contracts, which now tote an asking price of 1.15 per contract. Option implied volatility imploded following earnings, falling 24%, to an intraday low of 42%. </p>]]>

Shares are slightly up this afternoon by about 0.25% to $14.09. The trader purchased 20,000 put options at the June 14 strike for an average premium of 1.91 apiece. He financed the long position by selling 20,000 puts at the June 11 strike for 74 cents each, and by selling another 20,000 puts at the lower June 10 strike for 51 cents premium. The net cost of the transaction amounts to 66 cents per contract. The investor responsible for the three-legged spread is possibly holding a long stock position in the XLF. The put options might then serve to protect the value of the position in the event that shares decline beneath the effective breakeven point at $13.34 by expiration. The fact that the trader is short two times as many puts indicates this investor expects a pullback but not a collapse beneath the lower strike price of $10.00. </p>    <p><strong>E*Trade Financial Corp. </strong>(<a href='http://seekingalpha.com/symbol/etfc' title='More opinion and analysis of ETFC'>ETFC</a>) &ndash; The Wall Street Journal reported that ETFC withdrew its application for funding through the Troubled Asset Relief Program (<a href='http://seekingalpha.com/symbol/tarp' title='More opinion and analysis of TARP'>TARP</a>) because the company&rsquo;s &ldquo;recent capital-raising and debt-reduction efforts negates the need for the money.&rdquo; E*Trade raised $150 million by selling stock in the third quarter out of some $765 million of sold stock this year. The seemingly bullish news that the company no longer plans to participate in the capital-purchase program did not do much for the current share price, which slipped 6% lower to $1.37. Our scanners picked up on interesting options activity this afternoon that may or may not have been inspired by today&rsquo;s news. It appears 95,000 put options sold at the January 1.0 strike for about 5.5 pennies apiece. One may infer the transaction represents bullish sentiment on ETFC if the sale of the put options is fresh activity. If this is the case, the trader pockets the 5.5 cents premium, and expects shares to remain above $1.00 through expiration. However, the sale could also be the work of an investor closing out a long put position given the already high reading of open interest at the small number of available strike prices. </p>]]>

As of Thursday's close (10/8), only 57 of the 500 stocks currently in the index are up since then.  Needless to say, it has been a lousy two years.  Below we highlight the 25 best performing stocks in the index over the last two years. The deal currently values TRA at nearly $39 share (.465 x $83 CF share) or 30% above its Friday closing price of $29.91. Greenberg has been the subject of investigation for more than four years, though he flatly denies any claims of misconduct. Rakoff set a hearing date for Monday.</li>    <li><b><a href="http://www.marketwatch.com/story/analyst-says-short-squeeze-likely-driving-aig-gain-2009-08-05">AIG soars on short squeeze.</a></b> AIG (<a href='http://seekingalpha.com/symbol/aig' title='More opinion and analysis of AIG'>AIG</a>) shares skyrocketed yesterday, climbing nearly 63% to $22.00. Analysts said the spike was likely a result of a short squeeze on the stock, as investors with short positions before a recent 20-1 reverse stock split rushed to buy scarce shares to cover their positions. Shares <font color="green">+4.8%</font> premarket (7:00 ET).</li>    <li><b><a href="http://www.bloomberg.com/apps/news?pid=20601087&amp;sid=apeHKwrLTavE">SEC to sue former AIG chief?</a></b> The SEC may file a civil suit against former AIG (<a href='http://seekingalpha.com/symbol/aig' title='More opinion and analysis of AIG'>AIG</a>) Chairman and CEO Hank Greenberg on allegations of accounting fraud, said sources familiar with the matter. Greenberg has been the subject of investigation for more than four years, though he flatly denies any claims of misconduct. The lawsuit could be filed as soon as today.</li>    <li><b><a href="http://www.washingtonpost.com/wp-dyn/content/article/2009/08/05/AR2009080504063.html?hpid=topnews">Fannie, Freddie could face major reform.</a></b> The White House is considering a plan that would strip hundreds of billions of dollars in troubled assets from Fannie Mae (<a href='http://seekingalpha.com/symbol/fnm' title='More opinion and analysis of FNM'>FNM</a>) and Freddie Mac (<a href='http://seekingalpha.com/symbol/fre' title='More opinion and analysis of FRE'>FRE</a>). The assets would be placed in a government-backed 'bad bank,' leaving Fannie and Freddie with healthy balance sheets while the 'bad bank' would try to collect as much of the outstanding loan balances as possible. According to the filing, Time Warner repurchased Google's (<a href='http://seekingalpha.com/symbol/goog' title='More opinion and analysis of GOOG'>GOOG</a>) 5% stake in AOL for $283M earlier this month, valuing AOL at less than $5.66B vs. the $20B implied valuation the business carried in 2005.</li>    <li><b><a href="http://online.wsj.com/article/SB124874574251485689.html">Speculators drove oil price spike.</a></b> The Commodity Futures Trading Commission will release a report next month suggesting speculators played a major role in causing oil prices to spike, reversing an earlier finding by the CFTC that attributed oil price swings primarily to supply and demand. One of the CFTC commissioners said the original analysis was based on 'deeply flawed data.' The agency, which is shifting away from its former hands-off approach, is expected to institute rules limiting the investments of large institutions in commodities.</li>    <li><b><a href="http://www.bloomberg.com/apps/news?pid=20601110&amp;sid=acpqG2YokZKo">AIG keeps asset sale proceeds.</a></b> AIG (<a href='http://seekingalpha.com/symbol/aig' title='More opinion and analysis of AIG'>AIG</a>) used $2.4B from recent asset sales to improve the capital position of its property-casualty unit rather than using the funds to pay down some of its government debt. AIG's need to use some of the sale proceeds to bolster its own businesses will undoubtedly raise questions about the insurer's ability to repay its government bailout.</li>    <li><b><a href="http://www.bloomberg.com/apps/news?pid=20601110&amp;sid=aaVGe5smuZAU">U.S. pledges to rein in deficit.</a></b> At the beginning of a strategic round of talks with China, Geithner pledged to ensure a 'sustainable' U.S. budget deficit by 2013 as Chinese officials expressed concern over the security of their U.S. financial holdings. There were few signs of tensions over the value of the yuan. Both countries agreed not to prematurely withdraw economic stimulus measures.</li>    <li><b><a href="http://online.wsj.com/article/SB124871727822084391.html">SEC updates short-selling rules.</a></b> The SEC will no longer require institutional investors to report their short-sale positions on a weekly and confidential basis, part of an effort to curb abuse by making more information about short positions available to the public. The weekly reporting was instituted in October as an emergency measure and will expire August 1. A temporary ban on naked short selling was made permanent.</li>    <li><b><a href="http://www.bloomberg.com/apps/news?pid=20601110&amp;sid=abd4hrVfB7q0">Amgen, Glaxo reach drug agreement.</a></b> Amgen (<a href='http://seekingalpha.com/symbol/amgn' title='More opinion and analysis of AMGN'>AMGN</a>) and GlaxoSmithKline (<a href='http://seekingalpha.com/symbol/gsk' title='More opinion and analysis of GSK'>GSK</a>) reached an agreement to jointly market denosumab, an osteoperosis treatment that could see annual sales of $2B within a decade if approved by regulators. Glaxo will pay $120M for near-term milestones to share profits in Europe and to sell the drug in countries where Amgen doesn't have any exposure. Amgen will market the drug in the U.S. and Canada, and retain the rights to sell it for cancer in Europe once it's approved.</li>    <li><b><a href="http://www.nytimes.com/2009/07/28/business/28delphi.html?_r=1">Third time's the charm for Delphi.</a></b> Delphi looks set to emerge from nearly four years of bankruptcy protection with its third attempt at an exit plan. Delphi's board approved an offer to split the company between former parent General Motors and lenders, replacing an agreement announced two months ago between GM and Platinum Equity. Under the new deal terms, lenders will forgive $3.4B in debt in exchange for most of the supplier's assets, and the lenders will pay cash to keep Delphi operating. GM will pay a little over $3B for four North American factories and Delphi's steering business.</li>    <li><b><a href="http://online.wsj.com/article/SB124874668619485699.html">BoA to shutter branches.</a></b> Bank of America (<a href='http://seekingalpha.com/symbol/bac' title='More opinion and analysis of BAC'>BAC</a>) is planning to slash the company's 6,100-branch network by 10%, reversing two decades of coast-to-coast expansion. Bank officials reportedly attribute the closings to changes in customer preferences, citing the shift away from traditional branches in favor of online and mobile banking. A timeline for the closures wasn't specified.</li>    <li><b><a href="http://www.reuters.com/article/ousiv/idUSTRE56Q43020090727">Reining in derivatives.</a></b> Lawmakers are considering steps to curb speculation in the $39T credit default swaps [CDS] market, which could include preventing investors from speculating on a borrower's credit quality. Among the options under consideration to curb speculation are a ban on naked CDS and a requirement that derivative dealers and investment advisers managing more than $100M report their short interests in CDS contracts to the appropriate regulator.</li>    <li><b><a href="http://www.reuters.com/article/ousiv/idUSTRE56Q1V120090728">Magna improves bid.</a></b> Magna International (<a href='http://seekingalpha.com/symbol/mga' title='More opinion and analysis of MGA'>MGA</a>) reportedly improved its bid for General Motors' Opel unit, offering to inject &euro;350M upfront vs. an earlier offer of &euro;100M. The improved offer comes after the German government criticized all three bidders for the amount of their own capital they were willing to inject into Opel.</li>    <li><b><a href="http://www.reuters.com/article/mergersNews/idUSLS52468220090728">CVC brews up AB InBev bid.</a></b> According to media reports, private equity group CVC Capital Partners is prepared to pay up to &euro;1.5B ($2.1B) for the Central and Eastern European assets of Anheuser-Busch InBev. AB InBev was accepting bids until yesterday, by which point CVC and TPG Capital were still in the running but KKR had dropped out.</li>    <li><b><a href="http://www.census.gov/const/newressales.pdf">New homes sales (.pdf).</a></b> New home sales came in at 384K in June, up 11% from May, vs. consensus of 350K. Sales were down 21.3% vs. the previous year. The median home price of $206,200 was down from May's $221,600. AIG's need to use some of the sale proceeds to bolster its own businesses will undoubtedly raise questions about the insurer's ability to repay its government bailout.</li>    <li><b><a href="http://www.bloomberg.com/apps/news?pid=20601110&amp;sid=aaVGe5smuZAU">U.S. pledges to rein in deficit.</a></b> At the beginning of a strategic round of talks with China, Geithner pledged to ensure a 'sustainable' U.S. budget deficit by 2013 as Chinese officials expressed concern over the security of their U.S. financial holdings. There were few signs of tensions over the value of the yuan. Both countries agreed not to prematurely withdraw economic stimulus measures.</li>    <li><b><a href="http://online.wsj.com/article/SB124871727822084391.html">SEC updates short-selling rules.</a></b> The SEC will no longer require institutional investors to report their short-sale positions on a weekly and confidential basis, part of an effort to curb abuse by making more information about short positions available to the public. The weekly reporting was instituted in October as an emergency measure and will expire August 1. Glaxo will pay $120M for near-term milestones to share profits in Europe and to sell the drug in countries where Amgen doesn't have any exposure. Amgen will market the drug in the U.S. and Canada, and retain the rights to sell it for cancer in Europe once it's approved.</li>    <li><b><a href="http://www.nytimes.com/2009/07/28/business/28delphi.html?_r=1">Third time's the charm for Delphi.</a></b> Delphi looks set to emerge from nearly four years of bankruptcy protection with its third attempt at an exit plan. Delphi's board approved an offer to split the company between former parent General Motors and lenders, replacing an agreement announced two months ago between GM and Platinum Equity. Under the new deal terms, lenders will forgive $3.4B in debt in exchange for most of the supplier's assets, and the lenders will pay cash to keep Delphi operating. GM will pay a little over $3B for four North American factories and Delphi's steering business.</li>    <li><b><a href="http://online.wsj.com/article/SB124874668619485699.html">BoA to shutter branches.</a></b> Bank of America (<a href='http://seekingalpha.com/symbol/bac' title='More opinion and analysis of BAC'>BAC</a>) is planning to slash the company's 6,100-branch network by 10%, reversing two decades of coast-to-coast expansion. Bank officials reportedly attribute the closings to changes in customer preferences, citing the shift away from traditional branches in favor of online and mobile banking.         <![CDATA[<p>In dedication to my recent posts on value investing vs. trading strategies, I decided to focus this week's screen to the market's favorite word: growth. Specifically, the criteria used was positive revenue growth for the next fiscal year. Of course, this does not translate to earnings growth but management teams should have figured out there's a recession and cut the cost side.</p>   <p>In addition to revenue growth, we are looking for companies that can thrive in this recession and take market share. These qualities are hard to quantify but I used ROE and ROA as measures of company quality, with the added kicker of a low debt-to-capital ratio so the company theoretically will have resources to pounce on opportunities.</p>]]>
