- Wednesday, September 19, 2012, 1:25 PM Cypress Semi (CY +0.2%) and Ramtron (RMTR +7.7%) have finally reached a deal. Cypress will acquire Ramtron, a pioneer in developing FRAM (predicted for decades to be the memory of the future), for $3.10/share, or $109.8M. Cypress made a $2.48/share offer for Ramtron in June, and raised its bid to $2.68/share and then $2.88/share over time, even though Ramtron posted an ugly Q2 report. Comment! [Tech, M&A, On the Move]
- Tuesday, August 28, 2012, 12:44 PM Ramtron (RMTR -2.5%) falls to $2.78 after stating it will "review and consider" Cypress Semi (CY)'s new buyout offer of $2.88/share in cash. Cypress' latest bid compares favorably with a prior $2.68/share offer, and comes even though Ramtron delivered a lemon of a Q2 report in July. Comment! [Tech, M&A]
- Monday, August 6, 2012, 1:15 PM Cypress Semi (CY +6.3%) is extending its $2.68/share offer to acquire Ramtron (RMTR unchanged) to August 17. Some had expected Cypress to lower or withdraw its offer following Ramtron's weak Q2 report, but instead, Cypress is merely arguing the report is further proof management needs to sell. - Tuesday, July 24, 2012, 5:40 PM Ramtron (RMTR) -12.4% AH to $2.47 after reporting Q2 revenue of $14.2M and breakeven EPS, below a consensus of $17.4M and $0.04. The FRAM pioneer is also guiding for Q3 revenue of $14M-$14.5M, far below a consensus of $21.2M. The AH decline puts Ramtron shares well below Cypress Semiconductor's (CY) $2.68/share tender offer, which Ramtron has rejected. Ramtron shares are currently trading at $3 - the company and investors seem to be betting Ramtron's leading role in commercializing FRAM (still a niche product), and the IP it has generated along the way, will result in a higher bid. - Thursday, June 21, 2012, 9:10 AM Cypress Semiconductor (CY) commences a tender offer for Ramtron (RMTR) at a price of $2.68/share, above the $2.48/share proposed last week. The offer is good through July 19. Ramtron's FRAM technology seeks to deliver the performance of Cypress' bread-and-butter SRAM, while retaining information in the absence of a charge (like flash memory).
