- Wednesday, March 6, 2:37 PM More on Icahn/Dell: David Faber reports Icahn has a 100M-share position, has met with advisers to Dell's special committee, and is pushing for a leveraged re-cap instead of an LBO. He's expected to come out against the deal and call for a one-time special dividend - the special committee is said to be worried it can't lever up enough to make the kind of payout Icahn wants. 1 Comment [Tech, M&A]
- Wednesday, March 6, 2:28 PM Carl Icahn has taken a 6% stake in Dell (DELL +0.9%), CNBC reports. Shares have jumped to $14.25 on the news, putting them 4.4% above Dell's $13.65/share LBO price. If the report is true, Southeastern Asset and other shareholders fighting for a higher bid just got themselves a big ally. (earlier) 4 Comments [Tech, M&A, On the Move, Breaking News]
- Wednesday, March 6, 8:36 AM Dell's (DELL) special committee of independent directors finds, after over five months of analysis, that "the sale of the company would be the best alternative for stockholders." The panel "negotiated aggressively" to agree a buyout offer of $13.65/share from Michael Dell and P-E firms. Meanwhile, the go-shop process will continue until the scheduled end of March 22. (PR) Comment! [Tech, Consumer, M&A]
- Tuesday, March 5, 1:53 PM PC industry forecasts continue to head lower: IDC sees industry shipments falling 1.3% this year to 345.8M. That's below a prior forecast for a 2.8% increase, and a 2013, and comes in the wake of a 3.7% drop in 2012. Shipments to "mature markets" are seen falling 4%, while emerging market are expected to eke out 0.6% growth - that mix shift benefits Lenovo (LNVGY.PK) and Asus, and hurts H-P (HPQ) and Dell (DELL). For the record, IDC expects tablet shipments to hit 172.4M in 2013. Comment! [Tech]
- Tuesday, March 5, 7:16 AM Southeastern Asset Management and Longleaf Partners send a Demand Letter to Dell (DELL), noting again their displeasure with the buyout deal. Interestingly, Southeastern has been selling Dell stock, more than 1.5M shares over the past month (it still owns 146.6M shares). Dell +0.4% to $14 premarket. 2 Comments [Tech]
- Thursday, February 28, 1:34 PM Server sales rose 3.1% Y/Y in Q4 after falling 4% in Q3, says IDC. But nearly all of this growth went to non-top-5 OEMs, thanks to the do-it-yourself approach of Web/cloud firms behind most of the increase. Sales of the "densely optimized servers" these firms often prefer rose 66%. #1 IBM's share was flat Y/Y at 36.5%, but #2 H-P's (HPQ) fell 160 bps to 24.8% thanks to weak high-end sales. #3 Dell (DELL) +30 bps to 15.1%, #4 Oracle (ORCL) -110 bps to 4.1% (poor UNIX demand). Fujitsu is #5, and Cisco (CSCO), whose UCS blade server sales are soaring, is now #6. Comment! [Tech]
- Wednesday, February 20, 6:25 PM Morningstar's Ultimate Stock Pickers recently have displayed more breadth than depth in its high-conviction and new-money purchases, even with the increase in investor inflows in early part of 2013. Their newest top 10: TJX, GILD, AIG, BAC, AAPL, DVN, ORCL, WFC, DELL, KO. 7 Comments [Quick Ideas]
- Tuesday, February 19, 4:59 PM More on Dell: The revenue beat might provide ammo for those wanting a higher LBO price. But many numbers are still bleak. Notebook sales -25%, desktops -14%, 3rd-party software/peripherals -11%, storage -13%, services -3%. Though lifted by M&A, servers/networking still a bright spot, +18% with Force10 up 100%+. Large enterprises -7%, SMBs -5%, public -9%, consumer -24%. Gross margin was 21.7%, +80 bps Q/Q and -60 bps Y/Y. Thanks to revenue drop, opex 16.8% of sales vs. 15.3% a year ago. DELL +0.4% AH to $13.85. CC about to start (webcast). (PR) (FQ3 data) Comment! [Tech, Earnings]
- Tuesday, February 19, 4:07 PM Dell (DELL): FQ4 EPS of $0.40 beats by $0.01. Revenue of $14.31B (-11% Y/Y) beats by $190M. No guidance provided. Shares +0.2% AH. (PR) Comment! [Tech, Earnings, Breaking News]
- Tuesday, February 19, 7:52 AM Dell (DELL) is scheduled to release its FQ4 earnings after the bell, with the Street forecasting that EPS fell to $0.39 from $0.51 and that revenue slid 11.9% to $14.12B. The problem for Michael Dell and his co-acquirers in the company's buyout is that if the results are too good, recalcitrant investors might have more ammunition in their quest for a higher offer. 1 Comment [Tech, Consumer, Earnings]
- Tuesday, February 19, 12:10 AM Notable earnings after Tuesday’s close: ADI, AMRS, ANAD, BAS, BJRI, CF, DELL, DX, FNF, GTAT, HLF, LLNW, MAR, MDRX, MM, NBR, NFX, QEP, SHO, SINA, TEX, ZIXI Comment! [Earnings]

- Thursday, February 14, 9:48 AM Dell (DELL +0.3%) is planning to hold shareholder meetings to gauge investor willingness to support its LBO and is also planning an official response to the criticism it has received, Bloomberg reports. Silver Lake is said to oppose raising the LBO price, but nonetheless wants to learn if shareholders "would expect a bump of more than $1 a share or as little as 15 cents." Dell shares have been "bumped" to $13.81 in early trading. (yesterday: I, II) Comment! [Tech, M&A]
- Wednesday, February 13, 2:31 PM Bernstein and Maxim have downgraded Dell (DELL +0.4%), citing risk/reward concerns. Bernstein thinks there's "a small risk" the LBO gets scuttled thanks to opposition, and Maxim believes the current offer is "within 10%" of a threshold beyond which the deal no longer makes sense to the LBO consortium. Dan Primack notes the deal requires 42% of shareholder votes (on top of Michael Dell's) to pass - institutions controlling 14% have signaled their opposition, and none have given their support. (earlier) Comment! [Tech]
- Wednesday, February 13, 11:18 AM Dell (DELL +0.8%) rises to $13.90 after sources tell dealReporter Michael Dell and Silver Laker might increase their LBO offer in response to growing shareholder opposition to the current $13.65/share deal. Count Topeka's Brian White among those who see a higher bid eventually arriving. 5 Comments [Tech, M&A]
- Tuesday, February 12, 4:45 PM Pzena Investment Management (PZN): Q4 EPS of $0.08 misses by $0.01. AUM of $17.1B, up from $13.5B a year ago, with market gains accounting for 75% of the increase. The firm is a large holder of DELL and CEO Richard Pzena opposes the LBO. The conference call is set for 10 AM ET tomorrow. (PR) Comment! [Earnings, Financials]

XRTrader: Exactly James - AAPL can add 3-5% EPS growth per year by buying back shares, on top of whatever growth they experience naturally. -
mitrado: ... and if AAPL buyback plan is as effective as HPQ's, will we be looking at AAPL around $50 a share in 2 years?
