- Thursday, February 14, 9:48 AM Dell (DELL +0.3%) is planning to hold shareholder meetings to gauge investor willingness to support its LBO and is also planning an official response to the criticism it has received, Bloomberg reports. Silver Lake is said to oppose raising the LBO price, but nonetheless wants to learn if shareholders "would expect a bump of more than $1 a share or as little as 15 cents." - Wednesday, February 13, 2:31 PM Bernstein and Maxim have downgraded Dell (DELL +0.4%), citing risk/reward concerns. Bernstein thinks there's "a small risk" the LBO gets scuttled thanks to opposition, and Maxim believes the current offer is "within 10%" of a threshold beyond which the deal no longer makes sense to the LBO consortium. Dan Primack notes the deal requires 42% of shareholder votes (on top of Michael Dell's) to pass - institutions controlling 14% have signaled their opposition, and none have given their support. Meanwhile, H-P (HPQ +2%) is using the occasion to tell Dell clients "leveraged buyouts tend to leave existing customers and innovation at the curb." The struggling IT giant also proclaims that "with a significant debt load, Dell's ability to invest in new products and services will be extremely limited." The irony is pretty thick.
