    Looks like the market thinks Dell (DELL -1.1%) overpaid for 3Par (PAR +86.3%), after agreeing to purchase the company at an 86% premium. An "extraordinary" act by a firm trying to "buy it's way out of trouble": 3Par has never traded above $13.67 since it went public, and it lost $1.8M in Q3 on revenue of only $54M.

    Dell (DELL -0.3%) will acquire storage technology firm 3Par (PAR +83%) in a deal valued at ~$1.15B, commencing a tender offer to acquire 3Par's outstanding shares for $18/share in cash. The transaction is expected to be accretive to Dell's earnings in FY 2012. (PR)

    Dell (DELL) joins tablet mania and will begin selling its new tablet computer to U.S. customers later this week. The Streak will be available for $299 with a new two-year AT&T (T) service contract and $549 without. Apple (AAPL) already sells an iPad with cellular capabilities starting at $629.

    Dell (DELL) agrees to pay $100M to settle accounting charges by the SEC, and CEO Michael Dell will pay $4M to settle disclosure-related allegations.

    Perhaps another SEC settlement in the making, as Dell (DELL) says it has proposed settling on terms consistent with the framework described in the company's quarterly report. Dell has already set aside $100M to cover the cost of settling charges that employees had misled auditors and manipulated results. DELL +0.4% premarket. (PR)

    Global PC shipments rose 21% Y/Y in Q2, according to Gartner, reaching 82.9M units. Once-hot netbooks recorded growth in the low 20% range, vs. more than 70% growth in the previous two quarters. The top three global vendors are H-P (HPQ), Acer and Dell (DELL), in that order.

    Secondary plays on INTC's earnings beat: RBC Capital Mkts expects a strong, enterprise-driven upgrade cycle in H2, recommends HPQ, and would consider positions in DELL and IBM. Kaufman sees hardware spending growing, and has high conviction in AAPL, CSCO, HPQ, RIMM, SNX, and SYNA.

    Microsoft (MSFT +2.2%) shares on the move after CEO Steve Ballmer touts the company's new Windows tablet devices, saying new tablets running Windows 7 are in development from Acer, Dell (DELL), Samsung, Toshiba (TOSBF.PK) and Sony (SNE). Also confirmed: eBay (EBAY), Hewlett-Packard (HPQ) and Dell are testing the new Windows Azure cloud-computing app.

    Dell (DELL) pins its hopes on its health-services unit as it tries to offer higher-margin services to complement its relatively low-margin hardware. It will be an uphill battle, as H-P (HPQ) and IBM (IBM) are already strong competitors in the field.

    UBS upgrades Dell (DELL) to Buy from Neutral, but cuts its price target to $15.50 from $17.50. UBS sees limited downside for the firm and "we continue to believe Dell will be a beneficiary of an enterprise PC refresh that should begin in [H2 2010] and grow in 2011." Shares +2% premarket to $12.30.

    Unsealed documents in a three-year-old lawsuit against Dell (DELL) show the company was aware of bad components in millions of computers sold from 2003 to 2005. It's symptomatic of "the decline of one of America's most celebrated and admired companies."

    "Frankly, (we're) not surprised as we have long been a critic of the company's accounting practices and quality of earnings," Kaufman says after Dell's (DELL -2.7%) disclosure of a $100M liability for the potential settlement of an SEC investigation, in which CEO Michael Dell is implicated. The scandal, though, is unlikely to cost the company's founder and largest shareholder his job.
