S&P says it may downgrade Disney (DIS -2.7%) after the announcement that the entertainment titan would sink $4B into acquiring Marvel (MVL +25.2%). Meanwhile, DreamWorks Animation SKG (DWA) is up 6.6% to $33.77 as Goldman Sachs (GS) raises its price target to $38, speculating DreamWorks could become a takeover target for a large studio without CGI capabilities that wanted to emulate a Disney-Pixar relationship.

Jeff Katzenberg, CEO of Dreamworks Animation (DWA), sees a 3-D future, and expects a boost in Hollywood's U.S. DVD sales (which account for 2/3 of a new release's total revenue) when Samsung and LG Electronics release 3-D-capable TV screens in 2010.

DreamWorks (DWA) is nearing a deal for an $550M outside investment that would allow the film studio to split from Viacom's (VIA) Paramount as early as November.
