A month-long bidding war concludes with Diedrich Coffee (DDRX) agreeing to be acquired by Green Mountain (GMCR) for $290M after Peet's Coffee & Tea (PEET) backed down and said it would not make a counter offer. Green Mountain will acquire all outstanding shares of Diedrich for $35 in cash, and will also pay Diedrich's $8.5M termination fee with Peet's.

Peet's says it believes its current $30.41/share cash-and-stock offer remains superior (but Diedrich begs to differ), but will consider its options over the coming days.

Peet's (PEET), which sells premium coffee and tea, thinks Diedrich (DDRX) will give it a foothold into the fast-growing single-serve K-Cups coffee market. Keurig's machines have exploded in popularity in recent years, but the technology is owned by Green Mountain (GMCR), which wants to bring more of the brands licensed to sell K-Cups under its wings.

Peet's Coffee & Tea (PEET) boosts its offer for Diedrich Coffee (DDRX) to $32/share in cash and stock, in response to a bid for Diedrich from Green Mountain Coffee Roasters (GMCR) of $30/share in cash, which Diedrich's board said was superior. Diedrich said it is evaluating the revised offer. PEET -2.5% premarket. GMCR -0.5%. DDRX +27% to $33.12.
